SUBJECT First Amendment to Agreement with Common Area Maintenance Services, Inc. doing business as CAM Services for Steam Cleaning Services at various locations within the City of Orange in an amount not to exceed $80,708. 2. SUMMARY On October 24, 2017, the City entered into a three-year steam cleaning services agreement with CAM Services with the initial term ending June 30, 2020. The agreement has two, one-year extensions available at the direction of the City Council. This is the First Amendment to the Contract and increases the total compensation not to exceed 80,708. 3. RECOMMENDED ACTION Approve First Amendment with a one-year extension to Agreement 6531 with CAM Services for an amount not to exceed $80,708 and authorize the Mayor and City Clerk to execute on behalf of the City. 4. FISCAL IMPACT The total expenditure for this agreement is $80,708 and will be funded through General Fund (100), upon the approval of the Fiscal Year 2020-2021 Budget. 5. DISCUSSION AND BACKGROUND The Public Works Department currently has a contract for steam cleaning services with CAM for the Plaza dining areas and spoke streets. The contract also includes services for some parks and the Main Library. The initial term of the contract was for three years ending on June 30, 2020. The original contract has two, one-year extensions available at the direction of the City Council. Staff is recommending approval of the first extension of the contract to Fiscal Year 2020-2021 not to exceed $80,708. The extension does not increase the annual cost of the contract. CAM has performed satisfactorily in accordance with the agreement and the scope of work for the last three years of the contract. Staff recommends authorization of the first extension in an amount not to exceed $80,708. 7. ATTACHMENT First Amendment to the Contract. ITEM 2 OS/12/2020 FIRST AMENDMENT TO CONTRACT Steam Cleaning Services at Various Locations (RFP No. 167-23)] THIS FIRST AMENDMENT TO CONTRACT (the "First AmendmenY') is made and entered into as of 20_, by and between the CITY OF ORANGE, a municipal corporation ("City"), and COMMON AREA MAINTENANCE SERVICES, INC., a California corporation,doing business as CAM SERVICES ("Contractor"),with its principal office for purposes of the First Amendment at 1590 N. Batavia St., Suite 4, Orange, CA 92867 with reference to the following: A. City and Contractor entered into a Contract(Agreement No. 6531)dated as of October 24, 2017, which is incorparated herein by this reference (the"Original ContracY'); and B. City and Contractor desire to amend the Original Contract to extend the term of the Original Contract. NOW, THEREFORE, the parties hereby agree as follows: Section 1. Defined Terms. Except as otherwise defined herein,all capitalized terms used herein shall have the meanings set forth for such terms in the Original Contract. Section 2. Cross-References. City and Contractor agree that all references in this First Amendment are deemed and construed to refer to the Original Contract, as implemented by this First Amendment. Section 3 First Extension Term. Pursuant to Article II of the Original Contract, upon expiration of the Original Contract Term on June 30,2020,the term of the Contract is hereby extended to reflect a First Extension Term commencing on July 1,2020 and terminating on June 30,2021. The compensation for the First Extension Term shall not exceed EIGHTY THOUSAND SEVEN HUNDRED EIGHT DOLLARS and 00/100 ($80,708.00). Section 4. Integration. This First Amendment amends, as set forth herein, the Original Contract and, except as specifically amended hereby, the Original Contract shall remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this First Amendment and the terms and provisions of the Original Contract, the terms and provisions of this First Amendment shall control and govern the rights and obligations of the parties.
