1 . SUBJECT
First amendment to agreement with Townsend Public Affairs, Inc. for legislative advocacy
services related to acquisition of portions of Hart and Handy Parks from Caltrans.
2. SUMMARY
Approval of a first amendment to consultant services agreement with Townsend Public
Affairs, Inc. to continue a State legislative strategy to acquire portions of Hart and Handy
Parks from Caltrans, as long-term leases for both properties are set to expire in 2023 and
2024 respectively. This is a no-fee amendment extending services through a two-year
Senate bill process.
3. RECOMMENDED ACTION
Approve the amendment to agreement with Townsend Public Affairs, Inc. for extended
legislative services at no cost, and authorize the Mayor and City Clerk to execute on
6ehalf of the City.

6. DISCUSSION AND BACKGROUND
Background
The City currently leases 9.24 acres of open space land from Caltrans, located at Hart
Park adjacent to the 22 freeway. The City also leases 5.66 acres of open space�land from
Caltrans, located at Handy Park adjacent to the 55 freeway. Long-term leases for both
properties are set to expire in 2023 and 2024 respectively.

In early 2017 Caltrans notified the City they no longer needed the potential right-of-way
property and therefore was not going to pursue a lease renewal. Instead, Caltrans plans
to de-certify the property and sell it pursuant to the Caltrans Transportation Commission
(CTC) guidelines.
Staff inet with Caltrans to discuss the process and options for acquiring the properties.
Caltrans staff was helpful and outlined two potential options. Option one, as outlined in
the CTC guidelines, requires Caltrans to sell the property at fair market value. To this end,
the City contracted with Kiley Company Real Estate Appraisers to complete fair market
value appraisal reports for both properties. In April 2018, the draft report appraised the
property at Hart Park at $1,409,000 and Handy Park at $863,000, for a total of
$2,272,000.
The second potential option to acquire the property is for the City to work with its elected
officials in Sacramento to sponsor a bill, virtually transferring the property to the City to
continue to use it as a public park in perpetuity.
In May 2018 during a staff visit to Sacramento, Senators John Moorlach and Janet
Nguyen, as well as with the Legislative Director for Assembly member Tom Daly's office
were all three supportive of assisting the City in working with Caltrans to allow for a simple
transfer of the properties through a legislative bill, with Senator Moorlach willing to
sponsor legislation to require Caltrans to transfer the properties to the City.
Based on the CTC guidelines requiring the property be sold at fair market value, as
opposed to allowing for transfer of public property from one public agency to another
ensuring public use in perpetuity, in September 2018 the City entered into an agreement
for $30,000 with Townsend Public Affairs, Inc. (TPA) to provide legislative support to
pursue optiori two, a legislative bill.
With the support of TPA, in February 2019 Senator Moorlach introduced Senate Bill 447
asking for conveyance of the two excess land parcels from Caltrans to the City, to remain
as a public park in perpetuity.
In April 2019 Senator Moorlach presented the bill to the Senate Transportation
Committee. The Committee Chair asked for the bill to become a two-year bill and
suggested Senator Moorlach's office work with Caltrans and the City to look at options to
amend the Highways Code to allow for the two agencies to determine a purchase price
and/or provide language for the agencies to work together, and bring back the bill during
the next cycle.
Discussion -
The proposed amendment extends the term of the current agreement with TPA for one
year. It also adds additional scope of service to continue our legislative strategy through
year two of a two-year Senate bill cycle. A detailed scope of work is attached to.the
amendment. Strategies include facilitating meetings with Caltrans, continuing to
coordinate with Senator Moorlach's office, as well as developing briefing materials and
draft bill language. TPA has agreed to continue to facilitate passage of a Senate bill
through September 2020 at no additional cost to the city.

THIS FIRST AMENDMENT TO CONSULTANT SERVICE5 AGREEMENT (the
"First Amendment") is made and entered into as of , 2019, by and between the
CITY OF ORANGE, a municipal corporation("City"), and TOWNSEND PUBLIC AFFAIRS, INC.,
a California corporation("Consultant"),with reference to the following: .
A. City and Consultant entered into that certain Consultant Services Agreement
(Agreement No. 6650) dated as of September 11, 2018, which is incorporated herein by this
reference (the"Original Agreement"); and
B. City and Consultant desire to amend the Original Agreement to modify, amend and
supplement certain portions of the Original Agreement.
NOW, THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms
used herein shall have the meanings set forth for such terms in the Original Agreement.
Section 2. Cross-References. City and Consultant agree that all references in this First
Amendment are deemed and construed to refer to the Original Agreement, as implemented by this
First Amendment.
Section 3 Revised Scoue of Services. The Scope of Services, Section 1, Exhibit A of
the Original Agreement, is hereby amended, modified and supplemented to include the services
described on Exhibit A attached hereto.
Section 4. Integration. This First Amendment amends, as set forth herein, the Original
Agreement and, except as specifically amended hereby, the Original Agreement shall remain in full
force and effect. To the extent that there is any conflict or inconsistency between the terms and
provisions of this First Amendment and the terxns and provisions of the Original Agreement, the
terms and provisions of this First Amendment shall control and govern the rights and obligations of
the parties.

The below Scope of Work provides a phased approach to running State iegislation to address
parcel ownership at Hart Park and Handy Park in the second year of the proJect. During the first
year of the project TPA implemented Phase I: Develop Legislative Strategy and is currently
working within Phase II: Implement Legislative Strategy. In order to continue to implement a
successful legislative strategy, the project has been divided into two additional phases:

• Continue to facilitate outreach to Caltrans District 12 Director and other relevant local and
State Caltrans staff regarding Caltrans-owned parcels at Hart Park and Handy Park.
• Continue developing a strategy to structure a land ownership transfer or purchase of Hart
Park and Handy Park.
. • Continue to work with Senator Moorlach's office on his SB 447, which was introduced on
behalf of the City of Orange to address this issue. SB 447 is now a two-year bill and will
be eligible for consideration in January 2020.
• Continue tv develop briefing materials for advocacy meetings that focus on key
components of the legislation, including the regional and local impact of the properties and
park space.
• Continue to work with City staff, Caltrans, and Committee staff in the refevant policy
committees to draft proposed legislation to facilitate the transfer or purchase of parcels.

2020)
The 2020 Legislative Session will begin in January 2020. Bills will need to pass out of the
Assembly and Senate by August 2020 so that they can be sent to the Governor for his signature
or veto by the end of September 2020. TPA is prepared tv engage with the following scope
throughout the 9 months af the legislative session to advocate for the passage of SB 447 or any
other vehicle that implemenYs the City's desire for Hart Park and Handy Park.
• Work with an identified bill author to re-introduce legislat9on in Sacramento if necessary.
• Facilitate key meetings with relevant Committee Staff, Committee Members and other
stakeholders to secure support for SB 447 or other proposed fegislation.
• Develop briefing materials for advocacy meetings that focus on key components of the
legislation, including the regional and Iocal impact of the properties and park space.
• Guide legislation through policy oommittees, fiscal committees, and the Floor of the
Senate and Assembly.
• Secure support from the Governor to sign legislation into law.
