1. SUBJECT
First Amendment to Agreement No. 6689 with MTM Business Systems, dba Vital Valt for
the installation of modular cabinetry.
2. SUMMARY
The City of Orange entered into an agreement with MTM Business Systems, dba Vital
Valt for the purchase and installation of modular cabinetry. Extra work has been added at
agreed unit prices in an amount not to exceed $28,200.
3. RECOMMENDED ACTION
1. Approve First Amendment with MTM Business, dba Vital Valt for the extra work in the
amount of$28,200; and authorize the City Manager to execute on behalf of the City.
2. Authorize the appropriation of$28,200 from the Police Facility Fees unreserved fund
balance to expenditure account number 570.4011.51401.00000, Police Facility Fees
— Repairs to Building.
4. FISCAL IMPACT
The total expenditure for this change order is$28,200,for a total project cost of$178,640,
and will be funded through Police Facility Fees (570).
5. STRATEGIC PLAN GOALS
Goal 1: Provide for a safe community
b: Provide and maintain infrastructure necessary to ensure the safety of the public.
6. DISCUSSION AND BACKGROUND
The City Council approved Agreement No. 6689 with MTM Business Systems, dba Vital
Valt (Vital Valt) on December 11, 2018. Due to the existing building condition, extra work
is needed to comply with electrical code requirements including a new electrical panel,
new circuit breakers, and upgrades to existing kitchen receptacles.

The original contract amount was $150,440. This contract change order represents an
18.74% increase bringing the final contract amount to $178,640.

FIRST AMENDMENT
TO
CONTRACT
[Purchase and Installation]
THIS FIRST AMENDMENT TO CONTRACT (the "First Amendment") is made and
entered into as of , 2019, by and between the CITY OF ORANGE, a municipal
corporation ("Cit}�'), and MTM BUSINESS SYSTEMS, a California corporation, doing business as
VITAL VALT ("Contractor"), with reference to the following:
A. City and Contractor entered into that certain Contract (Agreement No. 6689) dated as
of December 11, 2018, which is incorporated herein by this reference(the "Original Contract"); and
B. City and Contractor desire to amend the Original Contract to modify, amend and
supplement certain portions of the Original Contract.
NOW, THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms
used herein shall have the meanings set forth for such terms in the Original Contract.
Section 2. Cross-References. City and Contractor agree that all references in this First
Amendment are deemed and construed to refer to the Original Contract, as implemented by this First
Amendment.
Section 3 Revised Scope of Services. The Contractor's Proposal, Attachment 1, of the
Original Contract, is hereby amended, modified and supplemented to include the services described
on Exhibit A attached hereto and incorporated herein by this reference:
Section 4 Compensation. The total not-to-exceed compensation for the services to be
rendered as set forth in Article III of the Original Agreement is increased by TWENTY EIGHT
THOUSAND TWO HiJNDRED DOLLARS and 00/100 ($28,200.00) and Article III is hereby
amended in its entirety to read as follows:
"The Contractor agrees to receive and accept the lump sum amount of ONE
HUNDRED SEVENTY EIGHT THOUSAND SIX HUNDRED FORTY DOLLARS
and_00/100 ($178,640.00) as full compensation for furnishing all materials and doing
all the Work contemplated and embraced in this Contract; also for all loss or damage
arising out of the nature of the Work aforesaid, or from the acts of the elements, or
from any unforeseen difficulties or obstructions which may arise or be encountered in
the prosecution of the Work until its acceptance by the City, and all risks of every
description connected with the Work, also for all expenses incurred by or in
consequence-of the suspension or discontinuance of the Work, and for well and
faithfully completing the Work, and for the whole thereof, in the manner and
according to the Plans and Specifications, and requirements of the Authorized City
Representative under them."
Section 5. Integration. This First Amendment amends, as set forth herein, the Original
Contract and, except as specifically amended hereby, the Original Contract shall remain in full force
and effect. To the extent that there is any conflict or inconsistency between the terms and provisions
of this First Amendment and the terms and provisions of the Original Contract, the terms and
provisions of this First Amendment shall control and govern the rights and obligations of the parties.
IN WITNESS of this Agreement, the parties enter into this First Amendment on the year and
day first above written.
