DISCUSSION AiVD BACKGROUND The Rotary Club of Orange Plaza (OPR) has produced their annual car show in the Orange Plaza (Plaza) for over twenty years. Prior to.2010, the event was approved: annually via the city's special event process. In 2010, the City Council approved a three- year agreement outlining the details of the event and approving the use of the Plaza for this event. City Council approved a subsequent four-.year agreement in 2015, which expired in 2018. ITEM� . a 1 02/12/2019 OPR has requested a new four-year agreement (Attachment 2) to operate and run a car show within the Plaza footprint, allowing the use of public streets for the event. The one- day event continues to attract over twenty-thousand visitors to the City of Orange requiring coordination between OPR and city staff to ensure the safety of the event for visitors and participants while protecting city property. As per the agreement, OPR reimburses the city for all costs and expenses incurred by the city for the production of the event, which is primarily staff time for Orange Police Officers and Public Works personnel. , As with any large event in the Plaza, public safety is the city's number one concern and priority. The closure of the Plaza includes concrete, k-rail barricades on Chapman Avenue and Glassell Street as well as plastic k-rails throughout the footprint for security measures. As such, the Orange Police Department makes recommendations for the staffing of officers (currently four officers and one sergeant) and the layout of k-rails as a means to ensure public safety at all public events in the Plaza, including city events such as the Tree Lighting Ceremony and Treats in the Streets. The current layout requires additional staff time to deliver and stage the k-rails. In recent years, these measures have escalated the city's cost to over $9,000 for 2017 and 2018, up from $6,200 in 2016. In submitting their request for a new four-year agreement, OPR had indicated that the increased cost for the Plaza closure is a hardship given the structure of the event. Therefore, OPR is requesting the city cap its cost at $7,000. As past City Council policy has been to pass all direct costs related to the Plaza street closures to the applicant, the proposed four-year agreement does not include a $7,000 cap. Should the City Council decide to cap the amount billed, Section 2.5 of the agreement will need to be amended to include such a provision. 7. ATTACHMENTS . 1. Letter from the Rotary Club of Orange Plaza requesting a four-year agreement for the production of the Annual Orange Plaza Rotary Car Show and a cap of $7,000 for city costs ITEM 2 02/12/2019 AGREEMENT FOR PRODUCTION OF THE ORANGE PLAZA CAR SHOW This Agreement is entered into this day of February, 2019, by and between the City of Orange, a municipal corporation, (hereinafter, "City") and the Rotary Club of Orange Plaza, a California non-profit unincorporated association, also known as Orange Plaza Rotary, (hereinafter, "OPR"). WITNESSETH: A. OPR desires to produce the Annual Orange Plaza Car Show (hereinafter, "Car Show") to celebrate the heritage and history of the City of Orange. B. The Car Show will be held only on the public streets and right-of-way in the City of Orange, in the area identified in the map attached hereto and incorporated herein as Exhibit "A", and generally described as the area of Chapman Avenue from the westerly prolongation of Grand Street west to the easterly prolongation of Lemon Street; and Glassell Street from the northern prolongation of Almond Ave. northerly to the southern prolongation of Maple Ave. The center of the Plaza known as Plaza Park is part of the Car Show. However, the Historic Fountain shall be enclosed and protected by fencing for the duration of the Car Show. The cost of such fence rental or other means to secure the Historic Fountain shall be the sole responsibility of OPR. OPR agrees to contact City's Park Services Manager no later than two weeks prior to the event to schedule a pre-event park walk-through. The use of Plaza Park during this event will be reviewed on an annual basis. In addition, the exact event layout shall be incorporated herein as Exhibit "B" and shall be approved annually by the City of Orange Police Department,Fire Department,Public Works Department, and OPR, two weeks prior to event. All fire lanes shown on the approved plan shall remain fi•ee and clear of all objects, materials, vehicles, and other obstructions during set up, during the course of the Car Show, and at break down of the Car Show. The Fire Department will inspect and walk the Car Show prior to start, checking fire lanes, etc. C. Exhibit"C" contains the physical layout for the event, including Plaza Park, as it pertains to Entertainment and Commercial booths. This exhibit must be reviewed annually. OPR agrees to leave public parking lots open for use by participants and the public during the event. D. The Car Show shall be held on the following dates: April 14, 2019, April 19, 2020, April 18, 2021, and April 21, 2022. Vendor and car entry to the Car Show shall commence at 4:00 a.m.,public spectator admission to the Car Show shall occur between 9:00 a.m. to 3:00 p.m., and Ca�•Show break down shall occur between 3:00 p.m. to 5:00 p.m.. OPR shall ensure that all reasonable measures are taken to mitigate noise between the hours of 4:00 a.m. and 8:00 a.m. City agrees that Car Show vendors and entrants shall have the following ingress and egress during the Car Show: i) Car Show vendors shall enter the Car Show area on West Chapman Avenue between the hours of 5:00 a.m. and 6:00 a.m. City agrees that the "k-rail" barriers at the intersection of West Chapman Avenue and Lemon Street shall not bar entry to Car Show vehicles until 4:30 a.m., when the intersection shall be closed to through traffic. City agrees to partially reopen the intersection of West Chapman Avenue and Lemon Street at 3:10 p.m., for exit of Car Show vehicles during the break down period. ii) Vehicles entered for display at the Car Show shall enter the Car Show area on East Chapman and Grand Street between the hours of 5:00 a.m. and 8:00 a.m. City agrees that the concrete "k-rail" barriers at the intersection 2 of East Chapman Avenue and Grand Street shall not bar entry to Car Show vehicles until 8:00 a.m., when the intersection shall be closed to through traffic. City agrees to reopen the intersection of East Chapman Avenue and Grand Street at 3:00 p.m., for exit of Car Show vehicles during the break down period. iii) OPR agrees to clear all entrant and vendor vehicles and equipment from the Car Show area by 5:00 p.m., but not prior to 3:00 p.m., at which time the City will reopen all intersections in the Car Show area to through traffic. Show vehicles shall not leave the area until the show is over. E. OPR represents that it is able to produce the Car Show during the aforementioned date and times. WHEREFORE, for and in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions hereof, the parties hereto do hereby agree as follows: Section 1. Term of Agreement. 1.1 City and OPR agree that the term of this agreement shall be for a four year period commencing from the date of execution, unless amended or terminated in accordance with the provisions of Section 1.2. 12 The City, acting through its City Manager or designee, reserves the right to terminate this Agreement for any reason by providing a written notice of intent to terminate to OPR within 120-days of commencement of the Car Show. City shall not be liable for any claim of lost profits. Section 2. OPR Obligations. 2.1 Upon execution of this Agreement, OPR shall produce the Car Show. 3 2.2 The "production of Car Show" as used in this Agreement shall mean all aspects of the planning, coordination and execution of said Car Show including, but not limited to, reviewing and approving applications for Car Show booths, preparation and distribution of advertising, obtaining all licenses, permits and certificates, obtaining all insurance required by City, and developing a budget and booth fee schedule, outreach regarding event timelines and closures to the merchants in the Plaza, coordination of the event providing a safe environment for participants and spectators, and ensuring adequate volunteer manpower for the set-up, production of and cleanup of the event. 2.3 OPR shall furnish all equipment and supplies and shall bear all other costs and expenses reasonably necessary to carry out the purpose of this Agreement. 2.4 OPR shall pay for all costs incurred for production of the Car Show. 2.5 OPR shall reimburse City for all costs and expenses incurred by City for providing materials and services for the production of the Car Show. OPR agrees that the number of public safety personnel assigned to this event is at the discretion of the designated Police and Fire Supervisors. Reimbursement for materials and services shall be due and payable within thirty (30) days of receipt of an itemized statement from the City. With regard to City personnel, OPR agrees to reimburse the City for the actual costs incurred for City staff time related to the production of the Car Show. 2.6 Unless otherwise stated herein, OPR agrees that it shall comply with all of the provisions of the Orange Municipal Code, including but not limited to Chapter 5.72 pertaining to "Special Pageants." OPR shall also comply with all applicable state and federal mandates as they relate to all storm water issues and as directed by the City. 4 2.7 OPR shall designate an individual to serve as a public contact for any and all inquiries, including but not limited to complaints related to the production of the Car Show, and shall provide a list of contacts and phone numbers to the City two (2) weeks prior to commencement of the Car Show. 2.8 OPR shall pay for all damage caused to public and private property within the event footprint during the hours of the event. 2.9 OPR shall pay for the clean-up costs incurred by the City of public and private property related to Car Show activities. The City will encourage local businesses and neighbors to report all clean up locations to the City within 72 hours of the closure of the Car Show. The City will bill OPR appropriately. 2.10 OPR is responsible to collect and remove trash from all areas within the permitted area as well as areas immediately adjacent to the permitted area that are impacted by the event. Trash collection and removal shall occur throughout the event and at the conclusion of the event to ensure all trash receptacles are usable tluoughout the event and immediately upon the conclusion of the event for general public use. OPR is responsible to provide plastic trash receptacle liners at their own cost and expense. OPR is responsible for the procurement of a separate dumpster to be used for the event as well as additional temporary trash receptacles to be placed throughout the event site as needed. OPR is prohibited from disposing of event trash in dumpsters that are provided in the Plaza area for use by the downtown merchants. 2.11 OPR shall work with designated City representatives for business involving the Car Show to ensure compliance with this Agreement. 5 2.12 OPR agrees that all entertainment shall cease p r o m p t 1 y at 3:00 p.m. on the day of the event and that all equipment shall be removed at that time. The Police Department has the right to approve or deny performers and both Police and Fire have the right to stop live entertainment at their discretion based on conditions that may cause or create a hazardous situation to the public. OPR shall furnish a complete entertainment schedule to the Police Department liaison a minimum of two (2) weeks prior to the Car Show. 2.13 OPR agrees that the Historic Fountain in Plaza Park will not be open to the public during the Car Show. The Historic Fountain shall be enclosed and secured by fencing � or a method approved by the Community Services Director in advance of the car show sufficient to prevent intrusion and shall remain in place for the duration of the car show. OPR shall install and bear all associated costs of the perimeter fencing. OPR shall assign volunteers with the specific role of monitoring Plaza Park for the duration of the car show. 2.14 OPR agrees that the following rules pertaining to the general public and all vendors shall be enforced at all times during production of the Car Show: Signs must be posted with the followinginformation: a) With the exception of guide dogs,animals are not permitted. b) Skateboards, roller skates, scooters, bikes, or any motorized or self- propelled devices(otherthan wheelchairs)for the purposeof personal motion are not permitted, unless approved by the City. c) Footwear and a shirt,or a similar form of covering as otherwise approved by the City must be worn at all times. 2.15 OPR agrees to the following rules pertaining to the Car Show: a) At no time shall OPR block or obstruct public sidewalks with tables, chairs,canopies,or any other event related equipment that would prevent pedestrian circulation. 6 b) At no time shall OPR block streets or alleyways. c) At no time shall OPR block pedestrian or delivery access to a merchant that is within or immediately adjacent to the event area. d) At no time shall cars within the Car Show be parked in a marked crosswalk. e) All cars participating in the Car Show shall be parked facing Plaza Park. Section 3. City's Obligation. 3.1 City agrees that OPR shall have the sole and exclusive right to produce the Car Show. 3.2 City agrees to prepare the Car Show area to an acceptable condition, prior to commencement of the Car Show. 3.3 City agrees to assign a liaison from each of the following departments: Public Works, Police, Fire, and City Manager's office, each will act as a direct liaison with OPR as it pertains to the production, planning and follow up of the Car Show. A Public Safety Liaison will be at the event to oversee the activities relating to the City's obligations. 3.4 City agrees to follow the special event permit process within the Car Show designated area (refer to Exhibit "A"), to ensure all applicants meet the same requirements as OPR. All special event permits issued within the OPR footprint during the event date must be submitted for review a minimum one month prior to the date of the event. Section 4. Insurance. 4.1 OPR shall carry workers compensation insurance as required by law for the protection of its employees,if any, during the production of the Car Show. OPR acknowledges 7 that it is an independent contractor and not entitled to any workers' compensation benefits under any City program. 4.2 OPR shall maintain during the life of this Agreement, comprehensive general liability insurance or commercial general liability insurance written on an occurrence basis providing for a combined single limit of one (1) million dollars per occurrence with five (5) million dollars aggregate for bodily injury, death and property damage. 4.3 Each policy of general liability insurance coverage shall provide that the City, its officers, agents, employees and City designated volunteers are declared to be additional insureds under the terms of the policy, but only with respect to the work performed by OPR under this Agreement. Policy endorsements to that effect shall be provided to the City along with the executed originals of the certificate(s) of insurance. An endorsement to the general liability policy shall be on Insurance Services Office, Inc. Form CG 20 10 10 O1, or such other form as may be acceptable to the City Attorvey. In lieu of an endorsement, the City will accept a copy of the policy(ies) that evidences that the City is an additional insured as a contracting party and that such coverage affords the City coverage for ongoing work exposure. 4.4 The insurance policies maintained by OPR shall be primary insurance and no insurance held or owned by City shall be called upon to cover any loss under the policy. OPR will determine its own needs in procurement of insurance to cover liabilities other than as stated above. 4.5 Any policy or policies of insurance required in the aforementioned sections shall contain a provision that no termination, cancellation or change of coverage or of insured or additional insured shall be effective unless ten (10) days notice thereof has been given in writing to the City. 8 4.6 OPR shall immediately notify the City if any required insurance lapses or is otherwise modified and cease performance of this Agreement unless otherwise directed by the City. In such a case, the City may procure insurance or self-insure the risk and charge OPR for such costs and any and all damages resulting therefrom, by way of set-off from any sums owed OPR. 4.7 OPR and the City shall give each other prompt and timely notice of any claim made or suit threatened and/or instituted against OPR or the City. 4.8 OPR shall require each commercial vendor to obtain general liability insurance. Each policy of general liability insurance coverage shall provide that the City, its officers, agents, employees and City designated volunteers are declared to be additional insureds under the terms of the policy, but only with respect to the work performed by the vendor, under the terms of its agreement with OPR. Section 5. OPR Records. 5.1 OPR shall retain copies of all records relating to this Agreement and the production of the Car Show for a minimum period of tlu•ee (3) years following the expiration or termination of Agreement. All such records shall be available for inspection, audit or review by an authorized representative of City at any time, upon reasonable notice. Section 6. Assignability. 6.1 OPR shall not assign or transfer any interest in this Agreement, whether by assignment or notation without the prior written consent of the City. 6.2 Any attempted assignment without compliance with this section shall be ineffective for any purpose. Section 7. Certi�cation of Non-Discrimination. 9 7.1 OPR shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, national origin, or mental or physical disability. OPR shall ensure that applicants are employed and that employees are treated during employment, without regard to their race, color, religion, sex, national origin, or mental or physical disability. 7.2 OPR shall, in all solicitations and advertisements for employees placed by, or on behalf of OPR, state that all qualified applicants will receive consideration for employment without regard for race, color, religion, sex, national origin, or mental or physical disability. 7.3 OPR shall cause the foregoing paragraphs to be inserted in a11 subcontracts for any work covered by this Agreement, provided that the foregoing provisions shall not apply to subcontracts for standard commercial supplies or raw materials. Section 8. Hold Harmless. 8.1 OPR agrees to hold City, its officers, agents, and employees harmless from any and all claims, liabilities or losses for personal injury, death, or property damage, including workers compensation claims, arising out of or in connection with work undertaken or equipment provided pursuant to this Agreement to the extent any such claim is caused by or results from any acts or omissions, or intentional misconduct of OPR, its employees,volunteers, or its agents. Further, OPR agrees to provide City, its officers, agents, and employees, at the request of City, and at the sole expense to OPR, with the defense of any and all such actions, suits or other legal proceedings brought against City, its officers, agents employees and volunteers arising out of or in connection with the work undertaken pursuant to this Agreement. OPR shall pay any judgment or settlement rendered against the City, its agents, officers and employees, including any award for'attorneys' fees. OPR shall not be liable for the indemnification and 10 defense of City on claims or litigation arising out of the sole negligence or sole willful misconduct of City. Section 9. OPR Compliance with Law. 9.1 OPR shall comply with all federal, state, and local laws, ordinances,regulations and directives applicable to the performance of this Agreement. OPR shall further keep and maintain in effect any and all licenses, permits, notices and certificates as required by law. 9.2 In addition to the requirements in Section 9.1, OPR shall comply with all applicable Fire Department guidelines in effect January lst of any given year during which the Car Show is produced. Additional requirements may be added by the Fire Department as necessary, and at the Fire Department's discretion. Section 10. Status of OPR. 10.1 OPR, its officers, employees, and agents, in the performance of this Agreement shall act in an independent capacity, and not as officers, employees, or agents of the City. Section 11. Validity. 11.1 The validity in whole or in part of any provision of this Agreement shall not void or affect the validity of any other provision of this Agreement. Section 12. Laws Governing this Agreement. 12.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California. Section 13. Exclusivity and Amendment of Agreement. 14.1 This Agreement supersedes any and all other Ab eements either ora] or in writing between the parties hereto with respect to t h e production of the Car Show and contains all the covenants and Agreements between the parties with respect to such production in any manner whatsoever. Each party to this Agreement acknowledges that no representations, inducements, pi-omises or Agreements, orally or otherwise have been made by any party, or anyone acting on behalf of any party which are not embodied herein, and that no other Agreement or amendment hereto shall be effective unless executed in writing and signed by both City and OPR. 14.2 This Agreement may only be changed by written amendment signed by OPR and the City Manager or other authorized representative of the City, subject to any requisite authorization by the City Council. ADMINISTRATIVE REPORTS 7.1 Grijalva Park at Santiago Creek masterplan review. (C2500.M.4.20) � Community Services Director Bonnie Hagan provided the staff report utilizing a PowerPoint presentation. Community Services has received four formal requests from the community for a skate paxk, arts theater, community pool, and library facility. There has also been discussion regarding a senior center. Public S ep akers: Chuck Walstead—spoke in support of a skate park. � Mark Conner—spoke in support of a skate park and is working to raise funds. David Bustamante—spoke in support of a new library facility at this site and the Library Foundation is working on obtaining funds. Michael Short—spoke in support of an arts theater. Steven Freeman,Member of Library Board of Trustees—spoke in support of a new library facility. Adrienne Gladson — supports the review of the masterplan and suggested that the City create an advisory committee to gather community input to prioritize the proposals. After discussion, it was Council consensus to authorize all of the organizations to begin � fundraising efforts. City Manager Otto clarified that there will not be any agreements or letters of understanding at this time. In addition, City funds may need to be allocated for project planning, and can be discussed at the upcoming budget study sessions. Staff was also directed to draft a letter in support of fundraising efforts for all four councilmembers to sign. 7.2 Agreement with the Rotary Club of Orange Plaza for the production of the Annual ' Orange Rotary Plaza Car Show. (A2100.0; Agr-5541.B) Economic Development Manager Susan Galvan presented the staff report. She noted that the Orange Plaza Rotary has requested the CiTy cap its costs at $7,000. The proposed agreement provided in the staff report does not include the cap. , Public Speaker: Joe Columbo,Rotary Club of Orange Plaza—spoke in support of approving the agreement with the requested cap of$7,000. (54000.5.3.1.2) A Resolution of the City Council of the City of Orange Rescinding Resolution No. 11116, and adopting a revised Master Resolution of Permit Parking Areas Within the City of Orange. Transportation Analyst Dave Allenbach presented the staff report. The request is for the 100 block north of Shaffer within an already permitted area. The Traffic Commission recommends approving the addition to Permit Parking Area A. Public Speaker: Jason Rupp-spoke in support of approval of the Resolution. (A2100.0; Agr-1071.I.2) Economic Development Manager Galvan and Finance Assistant Director Katrin Bandhauer provided Council with an update on the audit performed by a third party. Public Speaker: Adam Feliz, Orange International Street Fair Board President — answered Council's questions regarding the timing of the agreement. If the agreement is approved in April, it still allows enough time for the Board to notify participants. During discussion, Council directed staff to bring back a report at the March meeting for discussion with the agreement possibly coming back in April for approval. PAGE 11
