1. SUBJECT
Amendment. No. 1 to Cooperative Agreement No. C-3-2007 by and between Orange
County Transportation Authority, County of Orange, and the Cities of Orange and Tustin
for the implementation of the Newport Avenue/Boulevard (North) Project funded as part
of the Measure M2 Regional Traffic Signal Synchronization Program.
2. SUMMARY
The Amendment No. 1 to Cooperative Agreement No. C-3-2007 between Orange County
Transportation Authority and participating agencies extends the expiration .date of the
Agreement from December 2018 to June 30, 2019.
3. RECOMMENDED ACTION
Approve Amendment No. 1 to:Cooperative Agreement C-3-2007 and authorize the Mayor
and City Clerk to execute on behalf of the City.

6. DISCUSSION AND BACKGROUND
On April 4, 2014, Orange County Transportation Authority (OCTA) and participating
agencies County of Orange, City of Orange, and City of Tustin entered into a cooperative
agreement for the implementation of the Newport Avenue/Boulevard (North) Project as
part of the Measure M2 Regional Traffic Signal Synchronization Program Project P. The

project provides coordination of traffic signals across multiple jurisdictional boundaries to
enhance countywide traffic flow and reduce congestion.
In order to complete the project, OCTA and participating agencies have agreed to extend
the term of the agreement for an additional six months to June 30, 2019.

THE NEWPORT AVENUE/BOULEVARD (NORTH)
REGIONAL TRAFFIC SIGNAL SYNCHRONIZATION PROJECT
THIS AMENDMENT NO. 1 is made and entered into this day of
2018, by and between the Orange County Transportation Authority, ("AUTHORITY"), and the
County of Orange and the Cities of Orange and Tustin (hereinafter referred to as the
"PARTICIPATING AGENCIES").
WITNESSETH:
WHEREAS, by Agreement No. C-3-2007 dated April 4, 2014, AUTHORITY and
PARTICIPATING AGENCIES entered into a cooperative agreement for the coordination of traffic
signals across multiple jurisdictional boundaries as a part of the Renewed Measure M (M2) Regional
Traffic Signal Synchronization Program Project P (Project P) to enhance countywide traffic flow and
reduce congestion; and
WHEREAS, AUTHORITY and PARTICIPATING AGENCIES agree to extend the term of the
agreement for an additional six (6) months to June 30, 2019;
NOW, THEREFORE, it is mutually understood and agreed that Agreement No. C-3-2007 is
hereby amended in the following particulars only:

1. Amend ARTICLE 9. ADDITIONAL PROVISIONS, page 9 of 14, Paragraph A, line 9,
to delete "December 2018", as the expiration date of the Agreement and in lieu thereof, insert
"June 30, 2019".
The balance of Agreement No. C-3-2007 remains unchanged.
This Amendment shall be made effective upon execution by all parties.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to
Agreement No. C-3-2007 to be executed on the date first above written.
