RECOMMENDED ACTION 1. Authorize the appropriation of$60,840 from the Park Acquisition (510) unreserved fund balance to expenditure account number 510.7021.56020.30042 (Shaffer Park Renovation), and; 2. Approve third amendment with Converse Professional Group in an amount not to exceed $60,840, and authorize the Mayor and City Clerk to execute on behalf of the City. . 4. FISCAL IMPACT The total expenditure for this amendment is $60,840 and will be funded in the Shaffer Park Renovation Project (30042) through Park Acquisition (510). ITEM �� 1 9/11/1 S 5. GENERAL PLAN IMPLEMENTATION Natural Resources Element Goal 5.1: Maintain existing City parks at levels that provide maximum recreational benefit to City residents. 7. DISCUSSION and BACKGROUND Background The Shaffer Park Renovation Project involves demolition of the existing community building and concession stand, construction of a new community building and concession building, renovation of the existing ballfield, new walkways, landscaping, irrigation, lighting, reconfigured parking, and new exercise equipment.A design-build agreement was awarded in December 2016 to Morillo Construction in the amount of $6.3 million. Construction began in October 2017. The City is required to secure a geotechnical consultant to assume the role of Geotechnical Engineer of Record in compliance with the Limited Geotechnical Study Report for the project. On September 7, 2017, Request for Proposals for geotechnical observations and testing for the renovation project was circulated to four firms. Converse Professional Group (Converse) was determined to be the most responsive. Due to time constraints, and in an effort to keep the project moving, geotechnical services were needed immediately. To this end, staff negotiated with Converse for an original reduced scope of work in order to expedite an agreement for the required services, with a plan to amend the agreement at a later date, to include the remaining scope of services.Based on the reduced proposal from Converse,the City Manager authorized an agreement for $29,710 in October 2017. As planned, staff then analyzed future anticipated needs and negotiated with Converse for a first amendment approved by City Council in March 2018 for $30,820, for a new total contract amount of$60,530. Since execution of the �rst amendment, Converse has continued to provide geotechnical services as directed by the City. The contractor of record, Morillo Construction, has continued to struggle in performing and scheduling continuous and simultaneous work, resulting in the need for additional and multiple inspections.beyond the time allotted within the original agreement and first amendment. To this end, a second amendment for$37,980 was approved by City Council in June 2018 for a new total of$98,510. ITEM � 2 9/11/18 Discussion The project continues to progress at a slower than anticipated pace and additional inspections are required. The current estimated completion is in December 2018. To this end, staff is recommending a third amendment with Converse in an amount not to exceed $60,840. Upon approval of this proposed third amendment, the new total not to exceed amount will be$159,350. Below is a table illustrating the agreement history to date. The estimated number of hours represents a recent plan/schedule review, as well as contingency hours for additional inspections as needed. The number of inspections and the length of time needed for each inspection directly correlates to how quickly and efficiently the contractor completes their work. Geotechnical inspection is the City's responsibility, and means and methods for how to complete the work is Morillo Construction's responsibility. The City's project-management firm, GKK, Inc. is tracking all inspections, as well as continues to advise Morillo Construction on how to consolidate inspections and limit the number of hours requested according to work completed. Staff is also working with the City Attorney's office to determine if there is any liability on the contractor's part for duplicate inspections and/or poorly scheduled work. The project is being funded through park development fees. An appropriation of $60,840 from unreserved fund balance Park Planning, Acquisition and Development(510), is needed to support the third amendment. 8. Section 4. Compensation. The total not-to-exceed compensation (exclusive of reimbursables) set forth in Section 2 of the Original 'Agreement for the services to be rendered thereunder was the sum of TWENTY-NINE THOUSAND SEVEN HLJNDRED TEN DOLLARS and 00/100 ($29,710.00). Section 2 of the Original Agreement was amended by the First Amendment to provide for an increase of THIRTY THOUSAND EIGHT HUNDRED TWENTY DOLLARS and 00/100 ($30,820.00) in the total not-to-exceed compensation such that the Consultant's total compensation under the Original Contract, as amended by the First Amendment, would not exceed the sum of SIXTY THOUSAND FIVE HUNDRED THIRTY DOLLARS and 00/100 ($60,530.00). Also, a 4-hour minimum for each site visit. • The contractor and/or client will be responsible for excavating and backfilling all test locations. • The Converse field representative wil! not direct, supervise or lay out the work of the contractor. The amendment shall set forth the changes of work, extension of time for greparation and adjustment of the fee to be paid by City to Consultant. S. Licenses. Consultant represents that it and any subcoatractors it may engage, possess any and all Gcenses which are required under state or federal law to perform the work contemplated by this Agreement and that Consultant and its subcontractors shall rnaintain all appropriate licenses, including a City of Orange business license, at its cost, during the perfortnance of this Agreement. 6. Indepeodent Contractor. At all times during the term of this Agreement, Consultant shall be an independent contractor and not an employee of City. City shall have the right to control Consultant only insofar as the result of Consultant's services rendered pursuant to this Agreement. City shail not have the right to control the means hy which Consultant accomplishes services rendered pursuant to this Agreemeat. Consultant shall, at its sole cost and expense, furnish all facilities, materials and equipment which may be required for furnishing services pursuant to this Agreement. Consultant shall be solely responsible for, and shall indemnify, defend and save City harmless from aII matters relating to thc payment of its subcontractors, agents and employees, including cornpliance wikh social security, withholding and all other wages,salaries,benefits, taxes,exactions,and regulations of any nature whatsoever. Consultant acknowtedgcs that Consultant and any subcontractors,agents or employecs employcd by Consultant shall not, undcr any circumstanccs, be considered cmployees of the City, and that they shall not be entitled to any of the benefits or rights afforded employees of the City, inciuding, but not limited to, sick leave, vacation ieave, holiday pay, Public Employees Retirement System benePits, or health,life, dental, long-term disability or warkers'compensation insurance benefits. 7. Consultant Not AEent. Except as City may specify in writing, Consultant shall have no authority, express or implied, to act on hehalf of City in any capacity whatsoever as an agent. Consultant shall have no authority, express or implieci, to bind City to any obligation whatsoever. 8. DesiQnated Persons. Except as otherwise suthorized by the City's Project Manager, only Dr. Hashmi Quazi, PhD, PE, GE and Dr. Siva Sivathascan, PhD, PE GE, DGE 2 QSD, F.ASCE, shatl perform wark provided for iutder this Agreement. It is understood by the parties that clerical and other nonprofessional work may be performed by persons other than those designated. 9. Assignment ar Subcontractina. No assignment or subcontracring by Consultant of any part of this Agreement or of funds to be received under this Agreement shall be of any . force or e�fect unless the assignrnent has had the prior writtea approval of City. City may temzinate this Agreement rather than accept any proposed assignment or subcantracting. Such assi�ment or subconiracting may be approved by the City Manager or his designee. 10. Time of Completion. ConsuItant agrees to commence the work provided for in this Agreement within five (5} days of the Effective Date of this Agreement and to diligently prosecute completion of the work in accordance with the time period set forth in Exhibit A snd as project schedule is updated or revised, or as may otherwise be agreed to by and between the City's Project Manager and the Consultant. I1. Time Is af the Essence. Time is of the essence in this Agreement. Consultant shall do all things necessary and incidental to the prosecuNon of Consultant's work. 12. Reserved. 13. Delays and Extensions of Time. Consultant's soie remedy for delays outside its control, other than those delays that aze caused by the City, shall be an extension of time. No matter what the cause of the delay, Consultant must document any dclay and request an extension of time in writing at the time of the delay to the satisfaction of City. Any extensions granted shall be limited to the length of the delay outside Consultant's control. If Consultant believes that delays caused by the City will cause it to incur additional costs, it must specify, in writing, why the delay has caused additional costs to be incurred and the exact amount of such cost at the time the delay occurs. No additional costs can be paid that exceed the not to exceed amount absent a written amendment to this Agreement. 14. Products of Consultant. The documents, studies, reparts, plans, anaiysis, test results, matcrials, manuals and other praducts produccd or provided by Consultar�t for this Agrccmcnt shall bccomc thc property of City upon rcccipt. Consultant shall dcliver a!I such products to City prior to payment for same, City may use, reuse or otherwise utilize such products without restricrion. 15. Epual Emnlovment Uaaortuaitv. During the perfortnance of this Agreement, Consultant agrees as follows: a. Consultant shall not discriminate against any employee or applicant for employment because of race,color,religion, sex,natianal origin or mental or physical disability. Consultant shall ensure that applicants are employed and that employees are treated during employment, without regard to their race, color, rcligion, sex, national origin, or mental or physical disability. Such actions shail include,but not be limited to the followiag: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, 3 rates of pay ar other forms of compensation and selection for training, including apprenticeship. Consultant agrees to post in conspicuous places, available to employees and applicants for emplayment,a notice setting forth provisions of this non-discrimination clause. b. Consultant shall, in all solicitations and advertisements for employees placed by,or on behalf of Consultant,state that all qualified applicants will receive coasiderativn for employment without regard for race, calor, religion, sex, national origin, or mental or physica!disability. c. ConsuItant shalI cause the foregoing paragraphs (a} aad{b)to be inserted in all subcon�acts for any work covered by this Agreement, provided that the foregoing provisions shall not appty to subcontracts for standard commercial supplies or raw materials. 16. Confllcts of Interest. Consultant agrees that it shall not make,participate in the making,or in any way attempt to use its position as a consultant to influence any decision of City in which Consultant laiows or has reason to know that Consultant, its officers, par�ers, or employees have a f�nancial interest as defined in Section 87103 of the Government Code. 17. IndemnitV. $. To the fullest extent permitted by law, Consultant agrees to indemnify, defend and hoId the City,its City Council and each member thereof,and the officers, employees and representatives of the City (herein referred to collectively as the "Indemnitees") enrirely harmless from all liability arising out of (1) Any and all claims under worker's compensation acts and other employee benefit acts with respect to Consultant's employees or Consultant's cantractor's employees arising out of Consultant's work under this Agreement;and (2} Any claim, loss, injury to or death af persons or damage to property caused by any act, neglect, default, or omission other than a professional act or omission of the Consultant, or person, firm or corporatian employed by the Consultant, cithcr dircctly or by indepcndcnt contract, including all damagcs duc to toss or thcft sustained by any person, frm or corporation including thc Indemnitees, or any of them, arising out of, or in any way connected with the work or services which aze the subject of this Agreemcnt, including injury or damage either on or off City's property; but not For any loss, injury, death or damage caused by the active negligence or willful misconduct of City. The Consultant, at Consultant's own expense, cost and risk, shall indemnify any and all claims, actions, suits or other proceedings that may be brought or instituted against the Indemnitees on any such claim or liability covered by this subparagraph,and shall pay or satisfy any judgment that may be rendered against the Indemnitees, or any of them, in any action, suit or other proceedings as a result of covcrage under this subparagraph. 4 b. To the fullest extent permitted by law,Consultant agrees to indemnify and hold Indemnitees entirely harmless from all liability arising out of any cIaim, loss, injury to or death of persons or damage to property caused by the negligent professional act or omission in the performance of professional services pursuant to this Agreement. c. Except for the Indemnitees, the indemnifications provided in this Agteement shall not be construed to extend any third party indemnification rights of any kind to any person or entity which is aot a signatory to this Agreement. 18. Insurance. a. Consultant shail cazry workers compensation insurance as requued by law for the protecdon of its employees during the progress of the work. Consultant understands that it is an independent contractor and not entitled to any worker's compensation benefits under any City program. . b. . Consultant shall maintain during the life of this Agreement, comprehensive general liability insurance or commercial general liability insurance written on an occurrence basis providing for a combined single limit of$1 miliion f�r bodily injury, death and property damage. c. Consultant shall maintain during the life of this Agreement, automative liability insurance an a comprchensive form written on an occurrence basis covering all owned, non-owned and hired automobiles providing for a cambined single limit of$1 million for bodily injury,death and groperty damage, d. Each policy of general liability and automotive liability shall provide that City,its officers, agents,aad employees aze declared to be additional insureds under the terms of the policy,but only with respect to the wark performed by Consultant under this Agreement. A poIicy endorsement to that effect shall be provided to the City along with the certificate of insurance,wluch endorsement shall be on Insurance Services Office, Inc.Form CG 20 .10 IO O1. [n lieu of an endorsement,the City will accept a copy of the policy(ies)which evidences that the City is an additional insurcd as a contracting party. c. Consultant shall maintain during the life of this Agreement professional liability insurance covering errors and omissions arising out of the perfarmance af this Agreement with a combined single limit of$1,004,000. Consultant agrees to keep such policy in force and effect for at least five years from the date of completion of this Agreement. f. The insurance Policies maintained by Consultant shall be primary inswance and no insurance held or owned by Ciry shall be called upon to cover any loss under the policy. Consultant will determine its own needs in procurement of insurance to cover liabilities other than as stated above. g. Before Consultant performs any work or prepares or delivcrs any materials, Consultant shall furnish certificates of insurance and endorsements, as required by 5 City, evidencing the aforementianed general liability, autamotive and professional liability insurance coverages on forms acceptable to City, which shaIl provide that the insurance in force will not be canceled or allowed to lapse without at least ten(IO)days prior written norice to City. h. Except for professional IiabiIity insurance coverage that may be required by this Ageement, all insurance maintained by Consultant shall be issued by companies admitted to conduct the pertinent line of insurance business in the State of California and having a rating of Grade A or better and Class VII or better by the latest edition of Best's Key Rating Guide. In tiie case of professional liability insurance coverage,such coverage shall be issued by companies either licensed or admitted to conduct business in the State of California so long as such insurer possesses the aforementioned Best's rating. i. Consultant shall immediately notify the City if any required insurance lapses or is otherwise modified and cease pesformance of this Agreement unless otherwise directed by the City. In such a case, the City may procure insurance or self-insure the risk and charge Consultant for such costs and any and all damages resulting there�om,by way of set-off from any sums owed Consultant. j. Consultant agrees that in the event of loss due to any of the perils for which it has agreed to provide insurance, Consultant shall loak solely to its insurance far recovery. Consultant hereby grants to the City, on behalf of any insurer providing insurance to either the Consultant or to the City with respect to the services of Consultant herein, a waiver of any right to subrogation which any such insurer of said Consultant may acquire against the City by virtue of the payment of any loss under such insurance. k. Consultant shall include all subcvntractors, if any, as insureds under its policies or shall fumish separate certificates and endorsements for each subcontractor to the City for review and approval. All coverages for subcontractors shall be subject to all of the requirements stated herein. 19. Terminatioa. The City may for any reason terntinate this Agreement by giving the Consultant not less than five (S) days written notice of intent to tertninate. Upon receipt of such notice, the Consultant sha11 immcdiatcly cease work, unless thc noticc from thc City provides otherwise. Upon the termination of this Agreement, the City shall pay Consultant for services satisfactorily provided and all allowab]e reimbursements incurred to the date oE teRnination in compliance with this Agreement,unless termination by the City shall be for cause, in which event the City may withhold any disputed compensation. The City shall not be liable for any claim of lost profits. 20. Msintenance and InsnecNon of Reeords. In accordance with generally accepted accounting principles, Consultant and its subcontractors shall maintain reasonably fuIl and complete books,documents,papers,aceounting records, and other information(collectively, the "records") pertaining to the casts of and completi�n of services perforrned under this Agrcement. Thc City and any af thcir authorized representatives shall havc access to and thc right to sudit and reproducc any of Cansultant's records regarding the services provided under this Agreement. Consultant shall maintain all such records for a period of at least three(3)yeazs 6 after termination or campletion of this Agreement. Consultant agrees to make available all such records for inspection or audit at its offices during normal business haurs and upon three (3) days' notice from the City,and copies thereof shall be fumished if reyuested. 21. Co_mp�ance with aA Laws/Immi�ration Laws. a. Consultant shall be knowledgeable of and comply with all local, state and federal laws which may apgly to the performance oF this Agreemeat. b. Consultant represents and warrants that Consultant; (1) Has comptied and shall at all times during the term of this Agreement comply, in all respects, with all immigration laws, regulations, statutes, rules, codes, and arders, including, without limitation, the Immigration Reform and Control Act of 1986(IIZCA);and (2) Has not and will not knowingly employ any individual to perform services under this Agreement who is ineligible to work in the United States or under the temis of this Agreement;and (3) Has properly maintained, and shall at all rimes during the term of this Agreement properly maintain, all related employment documentation records including,without limitation,the campletion and maintenance of the Form I-9 for esch of Contractor's employees;and (4} Has responded, and shall at aIl times during the term of this Agreement respond, in a timely fashion to any government inspection requests relating to immigration law compliance and/or Form I-9 compliance and/or worksite enforcement by the Deparhnent of Homeland Security, the Department of Labor, or the Social Security Administration. c. Consultant shall require all subcontractors or sub-consultants to make the same rcpresentations and warrantics as set forth in Section b. d. Consultant shall, upon request of the City, pravide a list of all employees working under this Agreement and shall provide, to the reasanable satisfaction of the City, verificatian that all such employees are eligible to work in the United States. All costs associated with such verification shall be borne 6y the Consultant. Once such request has been made, Consultant may not change employees working under this Agreement without written notice to the City,accompanied by the verification required herein for such employees. e. Consultant shall require all subcontractors or sub-consultants to make the same verification as set forth in Section d. f. Any Consultant, subcontractor or sub-consultant who irnowingly cmploys an employec providing work under this Agreement who is not authorized to work in the United 7 States, and/or fails to follow federal laws to determine the status of such employee shall constitute a material breach of this Agreement and may be cause for immediate termination of this Agreement by the City. g. The Consultant agrees to indemnify and hold the Ciry, its officials, and empIoyees hazmless for, of and from any loss, including but not limited to fines, penalties and cotrective measures, the City may sustain by reasoa of the Consultant's failure to comply with said laws,rules and regulations in connection witb the performance of this Agreement. Z2. Attornevs' Fees. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys'fees,costs,and necessary disbursements,in addition to any other relief to which it may be entitled. If the City is the prevailing party and uses in-house counsel in the litigation, it shall be entitled to recover attorsieys' fees at the hourly rate that Consultant is being charged by its attorney or at the in-house counsel's fully bwdened rate,whichever is higher. Z3. Governin�Law. This Agreement shall be construed in accordance with and governed by the laws of the State of California and Consultant agrees to submit to the jurisdiction of Califomia courts. 24. lnte rallon. This Agreement cons#itutes the entire agreement of the parties. No other agreement, oral or written, pertaining to the work to be performed under this Agrecment shall be of any force or effect unless it is in writing and signed by both parties. Any work performed which is inconsistent with or in violadon of the provisians of this Agreement shall not be compensated. 25. NoNee. Except as otherwise provided herein, all notices required under this Agreement shall be in writing and delivered personally or by first class mail,postage prepaid, to each party at the address listed below. Either party may change the notice address by notifying the other party in writing. Notices may be sent by either e-mail or U.S. Mail. OvertIme will be cnarged at 1.5 fimes the regularly hourly rate. • AII requests for field service should be received by this office not less than one working day(24 hours)prior to the time the services are to be perFormed. • There will be a two-hour minimum charge in case of work cancellation after our field personnel have been dispatched. Also,4 hour minimum for each site visit. • The contractor and/or dient will be responsible for excavating and backfilling all test locations. • Our fleld representative wil! not direct, supervise vr lay out the work of the contractor. Our services wiA not include a review af the contractor's safety measures on or near the job site. • If any additional inspection or laboratory testing is required� it will be perFormed in accordance with the attached Geotechnical Laboratory Testing Schedule of Fees. • Converse field repflrts will be provided to yaur authorized representa6ve in the field on a daily basis as the tesfing is comp(eted. Introduction: The C'.tty of Orange Community Services Departrnent hereby requests proposa(s for the sele�tion oF a Profession�l Geotechnical Engineering firm to provide geotechnical observation and testing for the City's ShafFer Park Renovadon Projett. This Request for Proposals (RFP) describes the Proposal Submission Requirements and Deadline, Prvject Background, Project Schedule, Scope of Services, and Shaffer Park Schematic Plan. 2. ProJect Background: ShafFer Park is a 7.32 acre acpve sports park built in 1964.The Rark features a large tot lot built in 2000 and a large picnic shelter built in 2006. Other than these two popular amenities, the remainder of the Park has not changed since its inception. The Park also features a cammunity building, baseball/softba0 field with a soccer/football overlay, small cancession building and restroom. The planned Shaffer Park renovatlon includes the demolition of the existing community building. A new community building will be constructed in a loca�on away from adjacent residences and closer to the street and parking, and the parking lot will 6e enlarged and reconfegured. An exisdng concession building used by the loca( sports organization will be demolished, and a new ooncessian building with restrooms and utility storage is being planned. 7he existing ba)I�eld will be realfgned and renovated to include new lighting and irrigation; new concrete walkways and a walking path around the perimeter of the park are also planned. The exisfing tot-lot, picnic shelter and restroom are planned to remain. The replacement of the roof of the existing restroom building is also included as part of the project. 3. Shaffer Park Renovation Project Schedule: Begin Construcfian September Z017 5ubstantial Completion August 2018 Fnal Completion September zQ18 The preliminary construction schedule is inciuded as Exhibit B to the RFP. 4. Scope of Services: The selected firm shall assume the role as Geatechnicat Engineer of ftecord in compliance with and acceptance of the Limited Geatechnical Study Repo�t for the 5haffe� Park Renovativn dated August 26, Z016, prepared by Koury Engineering & Testing, Inc. The selected firm shall provide all geotechnical observatlon and testing including the following scope of services during construction of the praposed project: � Attendance at a pre-grade meeting; Exhibit"A" Page 13 of 25 • Observation and testing during removal and recompaction aF uruuitable material and fill placement during grading; • Review of submitted on-site and/or imparted materials to determine their suitability as fill materials. • Observation and testing during trench excavation and backfill for utllity lines; • Observation of building footing excavations and building slab subgrade preparation; • Observation and testing for fill placement at retaining walls. • Observatian and testing of subgrades for pavement and hardscapes; � Laboratory testing as necessary which may include maximum dry densities, expansion index, etc.; • Project management, engineering consultation and support, and analyses, as necessary; • Preparation of a rough grading report; and • Preparation of a final grading report summarizing the work performed. 5. The total not-to-exceed compensation (exclusive of reimbursables) set forth in Section 2 of the Original Agreement for the services to be rendered thereunder was the sum of TWENTY-NINE THOUSAND SEVEN HLTNDRED TEN DOLLARS and 00/100 ($29,710.00). Section 2 of the Original Agreement is hereby amended to provide for an increase of THIRTY THOUSAND EIGHT HIJNDRED TWENTY DOLLARS and 00/100 ($30,820.00) in the total not-to-exceed compensation such that the Consultant's total compensation under the Original Agreement, as amended by this First Amendment shall not exceed SIXTY THOUSAND FNE HLTNDRED THIRTY DOLLARS and 00/100 ($60,530.00) without the prior authorization of the City. The total not-to-exceed compensation (exclusive of reimbursables) set forth in Section 2 of the Original Agreement for the services to be rendered thereunder was the sum of TWENTY-NINE THOUSAND SEVEN HLTNDRED TEN DOLLARS and 00/100 ($29,710.00).
