First Amendment to Agreement No. 1071.I with the Orange International Street Fair, Inc. for
production of the annual Orange International Street Fair.
2. SUMMARY
This Amendment extends original Agreement No. 1071.I, executed on March 11, 2014, with
Orange International Street Fair, Inc. (OISF) for the production of the Orange International Street
Fair (Street Fair) for one year beginning January 1, 2018 through December 31, 2018.
3. RECOMMENDED ACTION
Authorize the Mayor and City Clerk to execute the First Amendment to Agreement No. 1071.I
on behalf of the City for one year beginning January 1, 2018 through December 31, 2018.
4. FISCAL IMPACT
OISF is responsible for paying all City costs for production of the Street Fair at the actual
compensation rate as detailed in original Agreement No. 1071.I.

7. DISCUSSION and BACKGROUND
The Street Fair is an annual event produced by the OISF, an independent corporation, that is held
in The Plaza area over the Labor Day weekend. Since its inception, the Street Fair draws
hundreds of thousands of visitors to the City of Orange (City) over the three -day event. The
production of this event is governed by an agreement between the City and the OISF. The most
recent agreement, No. 1071.I, was approved by the City Council on March 11, 2014 for a four -
year term, beginning January 1, 2014 and ending December 31, 2017. As outlined in the
agreement, OISF reimburses the City for staff time, equipment, and any other costs incurred by
the City for production of the event. In 2017, the City was reimbursed approximately $200,000
by OISF for costs assumed by the City for the event.
In early 2018, OISF approached the City to begin negotiations for a new contract term. After
initial discussions between OISF and city staff, OISF indicated their intent to pursue only a one -
year extension to Agreement No. 1071.I to allow time for OISF to plan the 2018 Street Fair and
provide both sides sufficient time to prepare and negotiate a new agreement. The extension of
Agreement No. 1071.I will be for one year, beginning January 1, 2018 and expiring on December
31, 2018. All other terms in Agreement No. 1071.I will remain in place. The extension will
encompass the planning, execution, and reimbursement of the Street Fair production.
