1. SUBJECT
First Amendment to Consultant Services Agreement with Wolff/Lang/Christopher
Architects, Inc. for architectural design services for the Fire Station 2 Apparatus Bay
Project.
2. SUMMARY
First Amendment will increase the architectural design services by
Wolff/Lang/Christopher Architects, Inc. for scope modification of the Fire Station 2
Apparatus Bay Project.
3. RECOMMENDED ACTION
Approve the amendment to agreement with Wolff/Lang/Christopher Architects,
Incorporated for architectural design services forthe Fire Station 2 Apparatus Bay Project
and authorize the Mayor and the City Clerk to execute the agreement on behalf of the
City.
4. FISCAL IMPACT
The total expenditure for this amendment is $114,250 and will be funded in Fire Station
2 (20107) through Fire Facility Fee (560).

6. DISCUSSION AND BACKGROUND
On April 11, 2017, the City of Orange entered into a consultant services agreement with
Wolff/Lang/Christopher (WLC) Architects, Inc. in the amount of $130,000 for the
architectural design services for a new three-fire truck apparatus bay/building on the east
side of Fire Station 2 located at 2900 East Collins Avenue just west of Wanda Road in
the city of Orange. The proposed apparatus bay would be tall enough to accommodate
the City's needs for the newer models of wider and taller emergency vehicles.
In the initial scope of work for this project, the new apparatus bay will require on-site and
offsite improvements that include the relocation of two 800 square foot existing metal
storage buildings, new driveways, a new on-site paved apparatus path of travel,
modifications of the existing traffic signal, relocation of a catch basin and utilities, and
other improvements in support of the new apparatus bay.
When the plan for the new apparatus bay was at 90% complete, the construction cost
estimate including all onsite and offsite improvements was close to $3.6 million. The
construction cost exceeded the available funding budgeted at $2.3 million, so staff
decided to change the scope of work to maintain the project budget. Instead of building a
new three-fire truck apparatus bay, the change in scope will essentially rebuild the
existing apparatus bay at Fire Station 2 with the goal of raising the overall height at the
bay and accommodating fire vehicles higher and longer. This is similar to work previously
done on Fire Station 4 in 2009.
The revised work is more complex and will also include the addition of a small exercise
room at the rear of the fire station. The existing fire station building will remain unchanged
but there will be some minor aesthetic improvements (such as paint, cleaning of signs,
etc.) to match the rebuilt apparatus bay. The remodel of the existing apparatus bay is
estimated to cost about $1.5 million, which is substantially less than building a new
apparatus bay and will keep the project within available budget.
Since WLC has been _the sole project architect, knowing the background and
understanding the needs of the Fire Station 2 Apparatus Bay Project, staff is
recommending to approve the First Amendment to Consultant Services Agreement for
WLC in the amount of$114,250 for scope modification.

FIRST AMENDMENT
TO
CONSULTANT SERVICES AGREEMENT
This First Amendment to Consultant Services Agreement (the "First Amendment") is made
and entered into as of , 2018, by and between the CITY OF ORANGE, a
municipal corporation (the "City"), and WOLFF/LANG/CHRISTOPHER (WLC) ARCHITECTS,
INCORPORATED, a California corporation (herein referred to as the "Consultant"), with its
principal office for purposes of this First Amendment at 8163 Rochester Avenue, Suite 100, Rancho
Cucamonga, California 91730 and with reference to the following:
A. The City and the Consultant entered into that certain Consultant Services Agreement
(Agreement No. 6462) dated as of April 11, 2017, which is incorporated herein by this reference (the
"Original Agreement"); and �
B. The City and the Consultant desire to amend the Original Agreement to modify,
amend and supplement certain portions of the Original Agreement.
NOW, THEREFORE,the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms
used herein shall have the meanings set forth for such terms in the Original Agreement.
Section 2. Revised Scope of Services. The Scope of Services, Exhibit A to the Original
Agreement, is hereby amended, modified and supplemented to include the services described on
Exhibit A attached hereto and incorporated herein by this reference.
Section 3. Compensation. The total not-to-exceed compensation (exclusive of
reimbursables) set forth in Section 2 of the Original Agreement for the services to be rendered
thereunder was the sum of One Hundred Thiriy Thousand Dollars and 00/100 ($130,000.00).
Section 2 of the Original Agreement is hereby amended to provide for an increase of One Hundred
Fourteen Thousand Two Hundred Fifty Dollars and 00/100 ($114,250.00) in the total not-to-exceed
compensation such that the Consultant's total compensation under the Original Agreement, as
amended by this First Amendment shall not exceed Two Hundred Forty Four Thousand Two
Hundred Fifty Dollars and 00/100 ($244,250.00)without the prior authorization of the City.
Section 4. Inte�ration. This First Amendment, the agreements specifically referred to
herein, and all attachments hereto (if any) integrate all of the terms and conditions mentioned herein,
and supersede all negotiations with respect to the subject matter hereof. This First Amendment
amends, as set forth herein, the Original Agreement and, except as specifically amended hereby, the
' Original Agreement shall remain in full force and effect. To the extent that there is any conflict or
inconsistency between the terms and provisions of this First Amendment and the terms and
provisions of the Original Agreement, the terms and provisions of this First Amendment shall
control and govern the rights and obligations of the parties.
IN WITNESS of this Agreement, the parties enter into this Agreement on the year and day
first above written.

Project Understanding
It is our understanding that the City would like to essentially rebuild the Apparatus Room at
Fire Station 2 in a manner similar to work previously done on Fire Station 4 in 2009.The work will
also include the addition of a small Exercise Room at the rear of the Fire Station. In an effort to
better define our fee proposal,we have broken it down into the following components:

A description of each component is as follows:
A. Architectural Fee
Our basic architectural fee is typically a fixed lump sum and includes the following

• Landscape Architecture
The basic fee includes the on-site improvements, drive approach, parking area adjustments, and
landscaping.The basic architectural fee will be adjusted to correspond to any increases in
project scope. For the purposes of establishing the basic fee,we have assumed a preliminary
construction budget of$1,500,000.00.A breakdown of our proposed fee is as follows:

Neither the City or Fire Deparfment will incur any cost for travel,travel time,phone calls,
faxes,or incidental printing or copying.
C. Items Excluded
The following is a list of items which are excluded from our scope of services or are not
anticipated to be required. However,these services can be included,if requested,or once
additional information is known:

considered within our scope of work.

20. Topographical Survey our fee assumes that we will be given the current Topographic Survey
in AutoCAD format.
21. Fee includes re-using the existing power distribution system and existing low voltage systems
to provide service to the reconstructed App Bay.

building, upgrading/replacing the existing generator.
D. Hourly Rate Schedule
For additional services,the following hourly rates are proposed for the basis of negotiating scope
modifications which may be necessary for the project.Hourly rates include mark-up that will be
applied to all fees. Reimbursable costs for reprographic services,computer plotting,and printing
will be negotiated at the time additional services are requested.
