1. SUBJECT
Third Amendment to Operating Agreement No. 0974.Y with Orange Elderly Services, Inc.
(OES), for a five year term extension for administration of recreational, cultural, and social
service programs for Orange senior citizens in the amount of $224,100.
2. SUMMARY
Approval of a five -year term extension with Orange Elderly Services, Inc. for the operation and
administration of the Orange Senior Center beginning July 1, 2016 through June 30, 2021.
3. RECOMMENDED ACTION
Approve Third Amendment and authorize the Mayor and City Clerk to execute on behalf of the
City.
4. FISCAL IMPACT
Based upon the initial Operating Agreement, the annual compensation payable to OES will be
determined by City Council through the annual budget process. The proposed Fiscal Year 2016-
2017 (FY17) annual budget includes an amount sufficient to fund year one of the amendment for
the same amount as the current fiscal year and is budgeted as follows:

Provide recreational facilities and programs that adequately serve the needs of residents.
5.2: Provide a range of high quality recreational facilities and programming to serve a broad
cross section of residents, including youth, seniors, young adults, mature adults, and people
with disabilities.
7. DISCUSSION and BACKGROUND
Since 1984, the City of Orange has contracted with OES for programs for Orange senior citizens
rather than provide these services and programs utilizing City staff. Through an Operating
Agreement with the City, OES provides the following senior programs and services: recreational,
cultural and socially- oriented programs, Meals on Wheels for homebound seniors, daily
congregate meals and nutritional programs for patrons, senior transportation to the congregate
meal program, as well as special programs and events throughout the year. In addition, the City
provides the City -owned and maintained building at 170 South Olive Street, which is commonly
known as the Orange Senior Center, for use by OES at no cost.
The current Operating Agreement expires June 30, 2016, however provides for one additional
five year extension. This Third Amendment extends the original agreement through June 30,
2021. All other terms of the agreement remain the same. The first and second amendments were
executed in 2012 and 2013 memorializing the annual funding amount.
Based upon the initial Operating Agreement, the annual compensation payable to OES is
determined by City Council through the annual budget process. The proposed FY 17 annual
budget includes an amount sufficient to fund year one of the amendment for the same amount as
the current fiscal year, $224,100 to be paid in monthly installments of $18,675.
Upon City Council approval of the Third Amendment, OES is anticipated to approve the
amendment at their regularly scheduled board meeting on June 21, 2016, in anticipation of
executing the amendment prior to the commencement date of July 1, 2016.
