SUBJECT Amendment No. 2 to Master Funding Agreement No. C -1 -2777 between the City of Orange and Orange County Transportation Authority (OCTA). 2. SUMMARY The Amendment No. 2 to Master Funding Agreement between City of Orange and OCTA amends Article 5 of the Agreement to delegate all actions required to be taken by City to its Director of Public Works or his /her designee, and actions required to be taken by Authority to its Chief Executive Officer or designee. Amendment No. 2 also amends Article 6 to allow OCTA or its agents to inspect and audit all work, materials, payroll, contracts, and other data and records of City for a period of five (5) years after final payment by OCTA for CTFP projects. 13. RECOMMENDED ACTION I Approve Amendment No. 2 to Master Funding Agreement No. C -1 -2777 and authorize the Mayor and City Clerk to execute on behalf of the City. 4. GENERAL PLAN IMPLEMENTATION Growth Management Element Goal 2.0 Provide for adequate regional and local transportation facilities. Policy 2.1: cooperate with other agencies to address regional issues and opportunities related to growth, transportation, infrastructure, and other planning issues. 7. DISCUSSION and BACKGROUND The M2 Comprehensive Transportation Funding Program Agreement with OCTA dated August 19, 2011 defines the specific terms and conditions and funding responsibilities between the City and OCTA. The Amendment No. 2 to Master Funding Agreement between City of Orange and OCTA amends Article 5 of the Agreement to delegate all actions required to be taken by City in the implementation of the Agreement to its Director of Public Works or his/her designee, and actions required to be taken by Authority in the implementation of the Agreement to its Chief Executive Officer or designee. Amendment No. 2 also amends Article 6 to require City to maintain a complete set of records in accordance with generally accepted accounting principles. It also allows OCTA or its authorized representatives to inspect and audit all work, materials, payroll, contracts, books, accounts, and other data and records of City for a period of five (5) years after final payment by OCTA for CTFP projects. The balance of Agreement No. C -1 -2777 remains unchanged. 8.
