SUBJECT Cooperative Agreement No. C -3 -2065 between the City of Orange, the Successor Agency to the Orange Redevelopment Agency, and the Orange County Transportation Authority providing for construction funding for the Metrolink Parking at the Orange Transportation Center. 2. SUMMARY This Cooperative Agreement secures $16.7 million in funding from Orange County Transportation Authority and $3.7 million from former Orange Redevelopment Agency bond funds for a total of $20.4 million for the construction of the Metrolink Parking Structure at the Orange Transportation Center. 3. RECOMMENDATION Approve Cooperative Agreement No. C -3 -2065 between the City of Orange, the Successor Agency and the Orange County Transportation Authority for Construction of a Parking Structure at the Orange Transportation Center at the Santa Fe Depot station; and, 2. Authorize the Chair and Agency Clerk to execute the Agreement on behalf of the Successor Agency. 4. FISCAL IMPACT This Agreement provides for OCTA to reimburse the City and /or the Successor Agency for up to $16.7 million and appropriates $3.7 million of former Orange Redevelopment Agency bond funds for a total of $20.4 million for construction of the Metrolink Parking Structure. GENERAL PLAN IMPLEMENTATION Economic Development Goal 2.0: Cultivate a business environment that is conducive and appealing to the commercial and retail industry, including smaller entrepreneurs. Policy 2.4: Maintain adequate infrastructure, transportation systems, and physical conditions that encourage retailers to invest in the City. Economic Development Goal 6.0: Provide sufficient infrastructure to support anticipated economic development and growth. Policy 6.1: Provide and maintain infrastructure adequate to support growth and expansion of commercial, industrial and institutional areas, including water, sewer, streets, curbs, gutters, sidewalks, storm drains, access, and parking improvements. 7. DISCUSSION and BACKGROUND Background On November 14, 2005, the Orange County Transportation Authority (OCTA) Board of Directors adopted the Metrolink Service Expansion Program which authorized OCTA staff to begin implementation of high- frequency rail service between the Fullerton Transportation Center and the Laguna Niguel /Mission Viejo Station in Orange County, which will serve the Orange Transportation Center (OTC). Under an agreement with OCTA, the City is currently required to provide 300 parking spaces for transit parking at the OTC. According to studies prepared by OCTA, upon full roll -of the expansion, approximately 500 parking spaces will be needed for transit ridership at the OTC. In 2009, the City of Orange ( "City "), and the Orange Redevelopment Agency ( "Agency ") entered into a Cooperative Agreement for OCTA to fund design of two parking structures at the OTC. Based on cost considerations and site constraints at the West Chapman Parking Lot, the location of the proposed parking structure was reduced to one location at the Lemon Street Parking Lot. SAORA ITEM 2 1/14/14 Discussion The proposed Cooperative Agreement provides for reimbursement to the City and Successor Agency for costs incurred up to $16.7 million for constructing transit related parking in the Metrolink Parking Structure. The amount is based on engineer's estimates for a five level parking structure consisting of about 611 parking spaces. Five hundred of the parking spaces would be for transit related use (82% of the 611 parking spaces), and 111 would be available for general public spaces (18% of the 611 parking spaces). OCTA Funding Commitment (82% or $16.7 million) The $16.7 million funding from OCTA would be a combination of Federal Transit Administration (FTA) and Congestion Mitigation and Air Quality Improvement Program (CMAQ) funds and provided to the City /Successor Agency on a reimbursement basis. The $16.7 million is anticipated to cover the costs of architectural and design services during the construction phase, construction management services, and any contracts necessary for OCTA's portion of construction of the parking structure. Redevelopment Bond Proceeds (18% or $3.7 million) The remaining $3.7 million to complete the City's share of the project will be funded through 2008 Redevelopment Bond Funds. A total of $4.5 million from 2008 Redevelopment Bond Funds has been approved as part of the City's Seven Year CIP budget for FY 13 -14 through 2018 -2019. The additional $800,000 may be utilized for other site improvements not associated with the parking structure, such as construction of a surface parking lot on a portion of the Lemon Street surface Parking Lot. Oversight Board and California Department of Finance (DOF) Review There is a companion item is on the City Council agenda this evening. Upon approval by the Successor Agency, the City and OCTA, the Cooperative Agreement will be submitted for consideration by the Oversight Board and DOF. Under Assembly Bill 1484, Successor Agency actions require Oversight Board approval which is subject to DOF review. Upon securing the Cooperative Agreement approvals, use of bond proceeds will be available through the ROPS process following issuance of a Finding of Completion (FOC) by the DOE It is anticipated the FOC should be secured by mid 2014. Environmental and project entitlements are currently underway and expected to be completed by August 2014. Construction could begin on the project in 2015 and be completed by 2016 barring any further delays by DOE 18.
