SECOND AMENDMENT
TO
PROFESSIONAL SERVICES AGREEMENT
Information Technology Desktop Services]
THIS SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (the
Second Amendment") is made and entered into as of June 26, 2026,by and between the
CITY OF ORANGE, a municipal corporation ("City"), and INTRATEK COMPUTER, INC., a
California corporation("Contractor"), with reference to the following:
A. City and Contractor entered into a Professional Services Agreement (Agreement No.
AGR-7524) dated as of June 25, 2024, which is incorporated herein by this reference (the "Original
Agreement"); and
B. City and Contractor amended the Original Agreement to revise the Scope of Services,
increase the compensation, and extend the term by a First Amendment to Professional Services
Agreement (Agreement No. AGR-7524.1) dated July 10, 2025, which is incorporated herein by this
reference(the "First Amendment"); and
C. City and Contractor desire to further amend the Original Agreement to modify,amend
and supplement certain portions of the Original Agreement to extend the term and revise the
compensation.
NOW,THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein,all capitalized terms used
herein shall have the meanings set forth for such terms in the Original Agreement.
Section 2. Cross-References. City and Contractor agree that all references in this Second
Amendment are deemed and construed to refer to the Original Agreement, as implemented by this
Second Amendment.
Section 3. Revised Scope of Services. The Scope of Services, Section 1,Exhibit A of the
Original Agreement, is hereby amended,modified and supplemented to include the services described
on Exhibit A attached hereto and incorporated herein by this reference.
Section 4. Second Extension Term. Pursuant to Section 2.l.a of the Original Agreement,
the City exercises its option to further extend the term of this Agreement commencing on July 1,2026
and terminating on September 30, 2026 (the"Second Extension Term).
Section 5. Compensation. The total not-to-exceed compensation for the services to be
rendered during the second extension shall not exceed SIXTY-TWO THOUSAND EIGHTY
DOLLARS and 98/100 ($62,080.98)without prior written authorization of the City.

Section 6. Authority of City Manager. Pursuant to Seciton 3.08.430 of the Orange
Municipal Code and Section 2.1 of the Original Agreement,the City Manager is authorized to approve
an execute amendments to the Agreement to adjust the compensation as provided herein.
Section 7. Integration. This Second Amendment amends,as set forth herein,the Original
Agreement and, except as specifically amended hereby, the Original Agreement shall remain in full
force and effect. To the extent that there is any conflict or inconsistency between the terms and
provisions of this Second Amendment and the terms and provisions of the Original Agreement, the
terms and provisions of this Second Amendment shall control and govern the rights and obligations
of the parties.

SUBJECT: AGR-7524 for IT Help Desk Services
Dear Mr. Scardina,
Intratek Computer, Inc. (Intratek) is pleased to submit our cost proposal for year three (3) of
the subject contract. We propose to continue a firm fixed price model based on level of
effort, as shown in the table below.

Monthly 20,693.66
Total 62,080.98
Because this extension is only for three (3) months, we are not increasing the rates. Assigned
personnel will receive a rate increase at the start of the new contract on October 1, 2026.
