B. 2 Initial Lei SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT Background Investigation Services] THIS SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (the Second Amendment") is made and entered into as of May 4 2026, by and between the CITY OF ORANGE, a municipal corporation ("City"), and RCS INVESTIGATIONS AND CONSULTING, LLC, a California limited liability company ("Contractor"), with reference to the following: A. City and Contractor entered into a Professional Services Agreement (Agreement No. AGR-5273.B) dated January 21, 2026, which is incorporated herein by this reference (the "Original Agreement"); and B. City and Contractor amended the Original Agreement to revise the Scope of Services and increase the compensation by a First Amendment to Professional Services Agreement(Agreement No. 5273.B.1) dated April 9, 2026, which is incorporated herein by this reference (the "First Amendment"); and C. City and Contractor desire to further amend the Original Agreement to modify,amend and supplement certain portions of the Original Agreement to revise the Scope of Services and increase the compensation. NOW,THEREFORE,the parties hereby agree as follows: Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms used herein shall have the meanings set forth for such terms in the Original Agreement. Section 2. Cross-References. City and Contractor agree that all references in this Second Amendment are deemed and construed to refer to the Original Agreement, as implemented by this Second Amendment. Section 3 Revised Scope of Services. The Scope of Services, Section 1,Exhibit A of the Original Agreement,is hereby amended,modified and supplemented to include the services described on Exhibit A attached hereto and incorporated herein by this reference. Section 4 Compensation. The total not-to-exceed compensation for the services to be rendered as set forth in Section 2.a of the Original Agreement is increased by TWENTY-SIX THOUSAND DOLLARS and 00/100 ($26,000.00) and Section 2.a is hereby amended in its entirety to read as follows: Contractor's total compensation for all services performed under this Agreement, shall not exceed FIFTY-NINE THOUSAND FIVE HUNDRED DOLLARS and 00/100 59,500.00)without the prior written authorization of City." This Second Amendment amends,as set forth herein,the Original Agreement and, except as specifically amended hereby, the Original Agreement shall remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this Second Amendment and the terms and provisions of the Original Agreement, the terms and provisions of this Second Amendment shall control and govern the rights and obligations of the parties. RCS Investigations & Consulting has conducted over 10,000 background checks and more than 1,000 administrative investigations for numerous public agencies. The two partners, retired law enforcement professionals with over 65 years of combined experience and 45 years of executive leadership and management expertise,bring unique insights and skills to each case. RCS Investigators use a standard method for conducting background investigations, including interviews with relatives, neighbors, employers, and personal references, as well as a thorough review of all required documents. RCS Investigations will start a background process after the applicant completes and submits the required documents. They will then deliver a fully finished work product within seven weeks or less,unless there are unusual circumstances. RCS Investigations will assign a managing partner to act as a point of contact for each background investigation, as needed by the client. RCS Investigations and Consulting will generally conduct the following work-related practices as part of the background process: Conduct a preliminary review of all documents provided for the background process. Conduct a full review of the Personal History Statement and identify/document pertinent concerns and or responses from the applicant in the background report. Verify the applicant's name, date of birth, and citizenship by using approved forms of documentation. Verify marital/divorce status by reviewing marriage certificates and divorce dissolutions. Interview current spouses (and former spouses on an as-needed basis). Conduct interviews with employers, personal references, landlords, family members, neighbors and dating partners. 1 Docusign Envelope ID:D273FF24-DBBE-8F12-81CF-142D9C29FC6E Conduct file reviews with the applicant's current employer if applicable. Verify the applicant's educational background through official documents. Review the applicant's driving history and government records via existing databases. Review the applicant's military history (if available) and verify service status through accepted government documents. Send local law enforcement agency check letters to locations where the applicant has worked or resided in the past several years. Conduct public social network searches within the confines of California law. (RCS Investigators will not request applicants to log on to their private accounts or provide usernames for viewing purposes). Conduct additional required tasks mandated by the client for background investigations. Provide a comprehensive final report and background file to the client within seven weeks, or sooner,barring any unusual circumstances. Sworn fire background investigations - $1,800 per background. Non-sworn background investigations - $1,750 per background. Ambulance Operator background investigations - $550 per background RCS Investigations & Consulting will not bill for travel costs within the Southern California area unless prior approval is obtained from the client. Travel expenses outside of Southern California must also be approved in advance by the client. RCS Investigations & Consulting will not charge the full rate for background investigations that the client terminates during the early or mid-stages of the process.
