This Statement of Work ("SOW") is entered into by and between Kreate Strategies Inc. Kreate") and the City of Orange ("Client") and governs the provision of survey research services as described herein. 1. Project Overview Kreate shall provide survey research services to design, execute, and analyze a public opinion survey. The purpose of this engagement is to deliver data and insights to support the Client's policy development, strategic planning, and community engagement. All services shall be performed in accordance with generally accepted industry standards and applicable laws. 2. Scope of Services Kreate shall perform the services described herein in accordance with generally accepted survey research standards. Kreate shall design, implement, and analyze the survey research program as set forth in this Section. Kreate shall develop a survey instrument based on mutually agreed research objectives. The Client shall review and approve the survey instrument prior to fielding. Upon approval, the instrument shall be deemed final. Any material revisions requested thereafter may require a written amendment and adjustment to cost and timeline. Kreate shall implement a multi-modal data collection approach, which may include online web panel, text-to-web outreach, and telephone interviewing, as determined by Kreate in its reasonable professional judgment. Kreate shall establish sample size, quotas, and stratification parameters and shall use commercially reasonable efforts to obtain a representative sample. Representativeness is not guaranteed and is subject to external factors, including response rates and accessibility. Fieldwork shall be monitored for quality and adherence to sampling parameters and shall be deemed complete upon achievement of target sample size or when, in Kreate's reasonable judgment, further fielding would not materially improve results. Kreate shall perform data validation, cleaning, and processing, including application of statistical weighting where appropriate. Kreate shall deliver a topline summary report, cross-tabulated data tables, and a final dataset in standard electronic format. Kreate's obligations are limited to the services expressly described herein. Any additional services or changes in scope shall require a written amendment. Deliverables Deliverables shall consist of a final survey instrument, a topline summary report in PDF format, and a crosstabulation report in Excel or comparable format. Deliverables shall be deemed accepted upon delivery unless the Client provides written notice of a material deficiency within five (5) business days. Any additional deliverables shall require a mutually executed written amendment. 4. Term and Schedule The term of this SOW shall commence on April 20, 2026 and conclude on April 27, 2026. The project shall include survey finalization, fielding, and delivery of topline results. The schedule is contingent upon timely Client review and approvals. Kreate shall not be responsible for delays caused by the Client or factors outside its reasonable control, and any such delays may result in adjustments to the timeline. 5. Compensation and Payment Terms The total professional fee for the services described herein shall be Thirty-Five Thousand Dollars ($35,000). Payment shall be made via Automated Clearing House (ACH) transfer through a secure Stripe payment link to be provided by Kreate. Fifty percent (50%) of the total fee shall be invoiced upon execution of this Statement of Work and shall be due and payable within seven (7) calendar days of issuance (net 7). The remaining fifty percent (50%) shall be invoiced upon completion of data collection and shall be due and payable within fourteen (14) calendar days of issuance (net 14). Kreate reserves the right to delay commencement or suspend services, including fielding, data processing, and delivery, in the event of nonpayment of any undisputed invoice. Any resulting delays to the project schedule shall not be the responsibility of Kreate. 6. Client Responsibilities The Client shall designate an authorized representative as its primary point of contact and shall provide timely review and approval of all materials, including the survey instrument. The Client shall provide all information and inputs reasonably required for performance of the services. Kreate shall be entitled to rely on the accuracy and completeness of all information provided by the Client. Delays in approvals or required inputs may result in adjustments to the project timeline. 7. Assumptions and Limitations Kreate shall perform all services in compliance with applicable laws and industry standards. While Kreate will employ commercially reasonable efforts to achieve a representative sample, the Client acknowledges that survey results are inherently subject to limitations, including but not limited to response rates, accessibility of target populations, and external conditions affecting participation. Kreate does not guarantee specific response levels or outcomes. 8. Confidentiality and Data Use Kreate agrees to maintain the confidentiality of any non-public information provided by the Client Docusign Envelope ID:6F9D8DCA-26C6-834C-80AD-E31 F8OD29BAE and to use such information solely for purposes of performing services under this SOW. Survey data and results shall be used exclusively for the Client's internal and authorized external purposes unless otherwise agreed in writing. 9. Limitation of Liability To the fullest extent permitted by law, Kreate's liability arising out of or related to this SOW shall be limited to the total fees paid under this agreement. In no event shall Kreate be liable for any indirect, incidental, consequential, or special damages. 10. General Terms This SOW constitutes the complete understanding between the parties with respect to the subject matter herein and may be amended only by written agreement signed by both parties. This SOW shall be governed by the laws of the State of California. 11. Independent Contractor Kreate is an independent contractor and is not an employee, partner, joint venturer, or agent of the Client. Nothing in this SOW shall be construed to create any employment, partnership, or agency relationship between the parties. Kreate shall have no authority to bind the Client to any obligation or agreement. 12. Force Majeure Neither party shall be liable for any failure or delay in the performance of its obligations under this SOW (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, government actions, labor disputes, interruptions in communications or data systems, or other unforeseen circumstances. The affected party shall promptly notify the other party of the occurrence of such event and shall use commercially reasonable efforts to resume performance as soon as practicable.
