HomeMy WebLinkAboutAGR-7933.1 - ORANGE CHAMBER OF COMMERCE FOUNDATION - THE ASSISTANCE LEAGUE OF ORANGE - ORANGE PLAZA ROTARY - INAUGURAL CELEBRATE ORANGE EVENTDocusign Envelope ID:E4C2F27E-7331-8F03-80F4-623CC88AE79C FIRST AMENDMENT AGR-7933. 1 / Initial u7 TO AGREEMENT FOR PRODUCTION OF CELEBRATE ORANGE ORANGE MAY PARADE, TASTE OF ORANGE, & ORANGE PLAZA ROTARY CAR SHOW COLLAB) THIS FIRST AMENDMENT TO AGREEMENT FOR PRODUCTION OF CELEBRATE ORANGE (the "First Amendment") is made and entered into as of April 21 2026, by and between the CITY OF ORANGE, a municipal corporation City"), and THE ORANGE CHAMBER OF COMMERCE FOUNDATION, a California non- profit public benefit corporation,THE ASSISTANCE LEAGUE OF ORANGE, a California non- profit public benefit corporation, and THE ORANGE PLAZA ROTARY, a California non-profit public benefit corporation(collectively, "Parties"), with reference to the following: A. City and Parties entered into an Agreement for Production of Celebrate Orange Agreement No. AGR-7933) dated as of March 10, 2026, which is incorporated herein by this reference(the"Original Agreement"); and B. City and Parties desire to amend the Original Agreement to modify, amend and supplement certain portions of the Original Agreement by the Orange Chamber of Commerce Foundation has since requested exclusive use of public parking lot #11 as a staging location for the May Parade,and revising page 3,section G and"Exhibit A-2 of 2"of the agreement to include exclusive use of lot#11 from 7:00 a.m. - 1:00 p.m. on May 2, 2026 NOW,THEREFORE,the parties hereby agree as follows: Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms used herein shall have the meanings set forth for such terms in the Original Agreement. Section 2. Cross-References. City and Contractor agree that all references in this First Amendment are deemed and construed to refer to the Original Agreement, as implemented by this First Amendment. Section 3. Revised Scope of Services. The Scope of Services, Section 2. Location, Exhibit A-2 of 2 of the Original Agreement, is hereby amended, modified and supplemented to include the services described on Exhibit A - 2 of 2 attached hereto and incorporated herein by this reference. Section 4. Authority of City Manager. Pursuant to Section 3.08.430 of the Orange Municipal Code, the City Manager is authorized to approve and execute amendments to the Agreement to adjust the compensation as provided herein. Section 5. Integration. This First Amendment amends, as set forth herein, the Original Agreement and, except as specifically amended hereby, the Original Agreement shall Docusign Envelope ID:E4C2F27E-7331-8F03-80F4-623CC88AE79C remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this First Amendment and the terms and provisions of the Original Agreement, the terms and provisions of this First Amendment shall control and govern the rights and obligations of the parties.
