City and Contractor entered into a Maintenance Services Agreement (Agreement No. 4722.G) dated as of September 15, 2023, which is incorporated herein by this reference (the"Original Agreement"); and B. City and Contractor desire to amend the Original Agreement to modify, amend and supplement certain portions of the Original Agreement by revising the Scope of Services, increasing the compensation and extending the term. NOW, THEREFORE, the parties hereby agree as follows: Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms used herein shall have the meanings set forth for such terms in the Original Agreement. Section 2. Cross-References. City and Contractor agree that all references in this First Amendment are deemed and construed to refer to the Original Agreement, as implemented by this First Amendment. Section 3. Revised Scope of Services. The Scope of Services, Section 1, Exhibit A of the Original Agreement, is hereby amended, modified and supplemented to include the services described on Exhibit A attached hereto and incorporated herein by this reference. Section 4. Compensation. The total not-to-exceed compensation for the services to be rendered as set forth in section 2.a of the Original Agreement is increased by ELEVEN THOUSAND TWO HUNDRED DOLLARS and 00/100 ($11,200.00) and section 2.a is hereby amended in its entirety to read as follows: Contractor's total compensation for all services performed under this Agreement, shall not exceed THIRTY-THREE THOUSAND SIX HUNDRED DOLLARS and 00/100 33,600.00) without the prior written authorization of City." Section 5. Term. Section 6. Authority of City Manager. Pursuant to Section 3.08.430 of the Orange Municipal Code,the City Manager is authorized to approve and execute amendments to the Agreement to adjust the compensation as provided herein. Section 7. Integration. This First Amendment amends, as set forth herein, the Original Agreement and, except as specifically amended hereby, the Original Agreement shall remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this First Amendment and the terms and provisions of the Original Agreement,the terms and provisions of this First Amendment shall control and govern the rights and obligations of the parties. Ai 3 Docusign Envelope ID:EE52194E-FB5F-4F98-B3FF-71A53DD73CB6 EXHIBIT "A" SUPPLEMENTAL SCOPE OF SERVICES Behind this page.] Docusign Envelope ID:EE52194E-FB5F-4F98-B3FF-71A53DD73CB6 SCOPE OF WORK Provide routine, ongoing cleaning, and preventative maintenance of the Veterans Memorial fountain and surrounding area stonework and concrete surfacing according to monthly, semiannual, and annual cleaning and preventative maintenance schedule. The scope includes, but is not limited to, deep cleaning and sealing of all edges, corners, and flat surfaces on an adjacent to the monument and two (2) fountains, as well as power washing of the concrete walkways leading up to the fountains. All products used shall be manufactured for the purpose of cleaning and sealing the natural stone and concrete (Stone Pro Products or approval equal). Maintenance services of the stone shall be monthly minimum) and includes schedules for a more thorough cleaning and sealing to be done every six (6) months and an annual cleaning and sealing that includes sealing all pavers and concrete with an epoxy sealer (Sure Bond 1300 or approved equal). The natural stone consists of: 1. Travertine and granite fountain wall face, corners, edges, seats and wall cap. 2. Canterra Stone/ cement and paver walkways. MAINTENANCE SCHEDULES Monthly Cleaning and Sealing: 1. Deep clean all natural stone using stiff nylon brush or a preapproved power tool along with an approved cleaning product per the manufacture's recommendations.Allow to dry and apply a porous stone sealer per the manufactures' recommendations. 2. Deep walkway services using an approved product per the manufacture's recommendations. Semi-Annual Cleaning and Sealing 1. Standard monthly cleaning along with seal all granite and travertine monument surfaces using an approved product per the manufacture's recommendations. 2. Pressure wash (steam clean) all stone and walkway surfaces to remove any foreign material, or film buildups that are not removed during normal cleaning efforts. Annual Cleaning and Sealing This annual cleaning shall be conducted one week ahead of the City of Orange annual Veterans Day Memorial event which typically takes place on or around Veteran's Day weekend. Check with City staff each year for actual date. 1. Perform all cleaning and sealing services as done in the month and semi-annual service. 2. Apply Sure Bond 1300 Sealer(or approved equal)to all walking services and vertical canterra stone. The services constituting the Scope of Work above, represent the maximum level of services to be provided. At any time following execution of contract, the City reserves the right to decrease or eliminate services and associated compensation based on the needs of the City and amounts budgeted by the City Council.
