FIRST AMENDMENT
TO
PROFESSIONAL SERVICES AGREEMENT
[Traffic Engineering Services for School Crossing Guard Warrants]
THIS FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (the
“First Amendment”) is made and entered into as of ____________________, 2025, by and
between the CITY OF ORANGE, a municipal corporation (“City”), and KIMLEY-HORN AND
ASSOCIATES, INC., a North Carolina corporation (“Contractor”), with reference to the
following:
A. City and Contractor entered into a Professional Services Agreement (Agreement
No. 7768) dated as of November 12, 2024, which is incorporated herein by this reference (the
“Original Agreement”); and
B. City and Contractor desire to amend the Original Agreement to modify, amend and
supplement certain portions of the Original Agreement by revising the Scope of Services and
increasing the compensation.
NOW, THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms
used herein shall have the meanings set forth for such terms in the Original Agreement.
Section 2. Cross-References. City and Contractor agree that all references in this
First Amendment are deemed and construed to refer to the Original Agreement, as implemented
by this First Amendment.
Section 3 Revised Scope of Services. The Scope of Services, Section 1, Exhibit A
of the Original Agreement, is hereby amended, modified and supplemented to include the services
described on Exhibit A attached hereto and incorporated herein by this reference.
Section 4 Compensation. The total not-to-exceed compensation for the services to
be rendered as set forth in Section 2.a of the Original Agreement is increased by THREE
THOUSAND ONE HUNDRED DOLLARS and 00/100 ($3,100.00) and Section 2.a is hereby
amended in its entirety to read as follows:
“Contractor's total compensation for all services performed under this Agreement,
shall not exceed FIFTY-THREE THOUSAND SIX HUNDRED FORTY-SIX
DOLLARS and 10/100 ($53,646.10) without the prior written authorization of
City.”
Section 5. Authority of City Manager. Pursuant to Section 3.08.430 of the Orange
Municipal Code, the City Manager is authorized to approve and execute amendments to the
Agreement to adjust the compensation as provided herein.

Section 6. Integration. This First Amendment amends, as set forth herein, the
Original Agreement and, except as specifically amended hereby, the Original Agreement shall
remain in full force and effect. To the extent that there is any conflict or inconsistency between
the terms and provisions of this First Amendment and the terms and provisions of the Original
Agreement, the terms and provisions of this First Amendment shall control and govern the rights
and obligations of the parties.
IN WITNESS of this First Amendment, the parties enter into this First Amendment on the
year and day first above written.

RE: Extra Work Request -Data Collection and Warrant Studies for School Crossing
Locations(PO 118261)
Dear Ms. Hayes:
Kimley-Horn and Associates, Inc. (Kimley-Horn) is pleased to submit this extra work request proposal
to the City of Orange (City) to provide Data Collection and Warrant Studies for two (2) additional School
Crossing Locations. The work request will be to modify our current project to expand the study locations
to include two (2) more intersections for analysis near Yorba Middle School. The locations include the
intersections of :
1. N Cambridge St & Adams(Uncontrolled)
2. N Cambridge St & E Collins Ave (Traffic Signal)
Foor this extra work, we have outlined our scope, schedule, and costs below.
Proposed Scope of Services
Data Collection
Aim Traffic Data (AimTD) will perform the additional requested traffic count data at the two locations for
the crossing guard warrant analysis. We will have AimTD start collecting traffic data after the formal
notice to proceed, anticipated for 2/3/25. With the schedule of the data collection to be completed by
2/13/2025.
CA MUTCD and City of Orange Crossing Guard Assessments
We will update the school memo for the Yorba Middle School to include these two new locations with
updated warrants per the existing outlined scope of work. This will be submitted to the City by
2/14/2025.
Final Report with Summary Prioritization List
We will update our previously submitted study to the City to incorporate the two new locations into the
findings and summary for “Tier” priority recommendation. This will be submitted to the City by
2/21/2025.

Cost Proposal
Kimley-Horn will perform the services described in the Scope of Services, including traffic counts,
outlined above for a not-to-exceed fee $3,100. This would bring our total contract amendment to
$49,051.
