FIRST AMENDMENT
TO
CONSULTANT SERVICES AGREEMENT
THIS FIRST AMENDMENT TO CONSULTANT SERVICES AGREEMENT (the
First Amendment") is made and entered into as of A o, 2020, by and between the
CITY OF ORANGE, a municipal corporation ("City" ), and TETRA TECH, INC., a Delaware
corporation ("Consultant"), with reference to the following:
A. City and Consultant entered into a Professional Services Agreement (Agreement
No. 6780) dated as of June 11, 2019, which is incorporated herein by this reference (the "Original
Agreement"); and
B. City and Consultant desire to amend the Original Agreement to modify, amend and
supplement certain portions of the Original Agreement to expand the Scope of Services and
increase the compensation.
NOW, THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms
used herein shall have the meanings set forth for such terms in the Original Agreement.
Section 2. Cross -References. City and Consultant agree that all references in this
First Amendment are deemed and construed to refer to the Original Agreement, as implemented
by this First Amendment.
Section 3 Revised Scone of Services. The Scope of Services, Section 1, Exhibit A
of the Original Agreement, is hereby amended, modified and supplemented to include the services
described on Exhibit A attached hereto and incorporated herein by this reference.
Section 4 Compensation. The total not -to -exceed compensation for the services to
be rendered as set forth in Section 2.a of the Original Agreement is increased by TEN
THOUSAND SEVEN HUNDRED DOLLARS and 00/100 ($10,700.00) and Section 2.a is hereby
amended in its entirety to read as follows:
Consultant's total compensation for all services performed under this Agreement,
shall not exceed SIX HUNDRED TWENTY-FOUR THOUSAND SEVEN
HUNDRED DOLLARS and 71/100 ($624,700.00) without the prior written
authorization of City."
Section 5. Authority of City Manager. Pursuant to Section 3.08.430 of the Orange
Municipal Code, the City Manager is authorized to approve and execute amendments to the
Contract to adjust the compensation as provided herein.
Section 6. Integration. This First Amendment amends, as set forth herein, the
Original Agreement and, except as specifically amended hereby, the Original Agreement shall
remain in full force and effect. To the extent that there is any conflict or inconsistency between
the terms and provisions of this First Amendment and the terms and provisions of the Original
Agreement, the terms and provisions of this First Amendment shall control and govern the rights
and obligations of the parties.
IN WITNESS of this Agreement, the parties enter into this Agreement on the year and day
first above written.

1) the Chairman of the Board, the President or a Vice -President, AND (2) the
Secretary, the Chief Financial Officer, the Treasurer, an Assistant Secretary or an
Assistant Treasurer. If only one corporate officer exists or one corporate officer holds
more than one corporate office, please so indicate. OR
The corporate officer named in a corporate resolution as authorized to enter
into this Agreement. A copy of the corporate resolution, certified by the
Secretary close in time to the execution of the Agreement, must be provided to
the City.

Additional Work Request No. 1 for Architectural Services
Dear Mr. Cao:
Tetra Tech has been providing engineering services on the Well No. 28 and Public Mini Park since June
2019 under Agreement No. 6780. Tetra Tech completed 60% Design submittals for the well drilling and
provided revised conceptual sections of the proposed well facility, three (3) conceptual screen wall
finishes, and revised conceptual minipark design based on Option 2 (without historical gas station) of the
RFP. On February 5, 2020, the City held a meeting between Planning, Public Works, Water Department
and Tetra Tech to discuss the revised conceptual designs. Tetra Tech's scope of work intended to utilize
our inhouse structural engineers and our landscape architect to provide architectural treatment to the screen
wall for acceptance by the planning department. As discussed during the meeting, because the site is in
Old Towne Orange the City requested Tetra Tech to retain an Architect who is experienced in maintaining
the historic context of Old Towne and provide three (3) revised conceptual designs for the City's approval.
A separate additional work request for final design will be provided when the City selects a conceptual
design. The following correspondence summarizes the additional scope and budget requested to include
architectural conceptual design.
Additional Scope of Work
Task No. 1: Revised Architectural Conceptual Design
Tetra Tech has retained the services of Secoy Architects, Inc. to provide the conceptual design of the
architectural treatment for the screen wall. Three (3) schematic architectural designs, in context with Old
Towne will be provided. Revised conceptual landscape design is not included. We have assumed the design
team will hold two (2) design coordination meetings and attendance of one (1) meeting with City the Planning
to discuss and select a conceptual design.

The original approved budget based on our original proposal was $614,000. Tetra Tech is requesting the
following not -to -exceed budget authorization to compensate us for this additional work. A breakdown of
the requested budget authorization for each task is provided below:
