Home My WebLink AboutAGR-6606.2 - POLYCHROME CONSTRUCTION INC - SECOND AMENDMENT FIRE HYDRANT PAINTING SERVICES - BID NO. 178-26SECOND AMENDMENT TO CONTRACT Fire Hydrant Painting Services (Bid No.178-26)] THIS SECOND AMENDMENT TO CONTRACT (the "Second Amendment') is made and entered into as of 735N vte_ 9 .2020 ("Effective Date"), by and between the CITY OF ORANGE, a municipal corporation ("City"), and POLYCHROME CONSTRUCTION INC., a California corporation ("Contractor"), with reference to the following. A. City and Contractor entered into that certain Contract (Agreement No. 6606) dated as of May 8, 2018, which is incorporated herein by this reference (the "Original Contract"); and B. On June 14, 2019, City and Contractor amended the Original Contract by that certain First Amendment to Contract (Agreement No. 6606.1), which is incorporated herein by this reference (the "First Amendment'), to extend the term and set the compensation; and C. City and Contractor desire to further amend the Original Agreement to revise the Scope of Services, extend the term and increase the compensation. NOW, THEREFORE, the parties hereby agree as follows: Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms used herein shall have the meanings set forth for such terms in the Original Contract Section 2. Cross -References. City and Contractor agree that all references in this Second Amendment are deemed and construed to refer to the Original Contract, as implemented by this Second Amendment. Section 3 Revised Scone of Services. The Scope of Services, Article I, Exhibit A of the Original Agreement, is hereby amended, modified and supplemented to include the services described on Exhibit A attached hereto and incorporated herein by this reference. Section 4. Compensation for First Extension Term. The total not -to -exceed compensation for the First Extension Term as set forth in the First Amendment is increased by THREE THOUSAND ONE HUNDRED TWENTY DOLLARS and 00/100 ($3,120.00) and Contractor's total not -to -exceed compensation for the First Extension Term shall be FORTY-SIX THOUSAND TWENTY DOLLARS and 001100 (S46,020.00). Section 5. Second Extension Term & Compensation. Pursuant to Article 11 of the Original Contract, the City hereby extends the Term of this Contract to reflect the Second Extension Term, commencing on July 1, 2020 and terminating on June 30, 2021 and Article III is hereby amended to reflect a total compensation for the Second Extension Term not to exceed the amount of FORTY-SIX THOUSAND TWENTY DOLLARS and 00/100 ($46,020.00). Section 6. Authority of City Manager. Pursuant to Article II of the Original Contract and Orange Municipal Code Section 3.08.520, the City Manager is authorized to approve and execute amendments to the Contract to extend the term and adjust the compensation as provided herein. Section 7. Integration. This Second Amendment amends, as set forth herein, the Original Contract and, except as specifically amended hereby, the Original Contract shall remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this Second Amendment and the terms and provisions of the Original Contract, the terms and provisions of this Second Amendment shall control and govem the rights and obligations of the parties.
