AGR-6651.E - NEW CINGULAR WIRELESS PCS LLC - FIFTH AMENDMENT TO SITE LICENSE AGREEMENTAG.K- b105 1.U. FIFTH AMENDMENT TO SITE LICENSE This Fifth Amendment to Site License ("Amendment") is made effective on the latest date in the signature block below, by and between the City of Orange, a municipal corporation ("C') and New Cingular Wireless PCS, LLC, a Delaware limited liability company ("Licensee"). l . Master License Agreement. City and Licensee entered into a Master License Agreement dated September 11, 2018 ("Agreement"), with respect to the attachment of Licensee -owned communications facilities on City Property. This Amendment is an update to the Site License that is attached as Exhibit A to the Agreement. All of the terms and conditions of the Agreement are incorporated herein by reference and made a part hereof. In the event of a conflict between the terms of the Agreement, the Site License and this Amendment, the terms of this Amendment shall control. 2. City Property. City hereby licenses to Licensee certain spaces on and within the City Property at the locations shown on the maps attached to Exhibit A-1, and at the addresses and on the poles as listed on Exhibit A-2, attached hereto and made a part hereof, which Exhibits include a complete list of all previously -licensed and newly licensed locations for Licensee's Telecommunications Network Facilities on City Property under the Agreement as of the date of this Amendment. 3. Attachment Fee Commencement Date. The Attachment Fee commencement date shall be on the date Licensee's Network Facilities are installed and operational on City Property as set forth in Section 1.3 of the Agreement. The parties will confirm the term Attachment Fee commencement date in writing through a fee commencement letter sent by Licensee to City. 4. Term Commencement Date. The Tenn commencement date for this Site License shall be on the date Licensee's Network Facilities are installed and operational on City Property and shall continue for a full ten-year term thereafter, in accordance with the Agreement. If the Term of the Master License Agreement terminates prior to the expiration of the term of this Site License, the terms and conditions of the Master License Agreement shall continue in full force and effect for this Site License only until the end of the term of this Site License.
