THIRD AMENDMENT
TO
CONTRACT
Custodial Services for All City Building(Bid No. 145-38)]
THIS THIRD AMENDMENT TO CONTRACT (the "Third Amendment") is made and
entered into as of v v 2 1 , 2020, by and between the CITY OF ORANGE, a municipal
corporation("City"), and ULTIMATE MAINTENANCE SERVICES, INC., a California corporation
Contractor"),with reference to the following:
A. City and the Contractor entered into that certain Contract(Agreement No. 6225) dated
as of July 1, 2415,which is incorporated herein by this reference (the"Original Contract"); and
B. City and Contractor amended the Original Contract to revise the Scope of Services,
increase the compensation and reflect an extension term by that certain First Amendment to Contract
Agreement No. 6225.1) dated as of May 8, 2018, which is incorporated herein by this reference (the
First Amendment"); and
C. City and Contractor amended the First Amendment to increase the compensation and
reflect an extension term by that certain Second Amendment to Contract (Agreement No. 6225:2)
dated as of May 14,2019,which is incorporated herein by this reference(the"Second Amendment"); : '
and
D. City and Contractor desire to further amend the Original Contract to modify, amend
and supplement certain portions of the Original Contract to revise the Scope of Services, increase the
compensation and reflect an extension term.
NOW,THEREFORE,the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms used
herein shall have the meanings set forth for such terms in the Original Contract.
Section 2. Cross-References. City and Contractor agree that all references in this First
and Second Amendments are deemed and construed to refer to the Original Contract, as implemented
by this Third Amendment.
Section 3. Revised Scope of Services. The Scope of Services, Section 1,E ibit A of the
Original Agreement,is hereby amended,modified and supplemented to include the services described
on Exhibit A attached hereto and incorporated herein by this reference.
Section 4. Term. Article II of the Original Contract is hereby amended to reflect a Third
Extension Term commencing on July 1, 2020 and terminating on 7une 30, 2021.
Section 5. Compensation. The total not-to-exceed compensation (exclusive of
reimbursable)set forth in Article III of the Original Contract for the services to be rendered thereunder
shall not exceed the sum of THREE HUNDRED NINETY FIVE THOUSAND DOLLARS and 00/100
395,000.00) for the Third Extension Term.
Section 6. Inte ration. This Third Amendment, the agreements specifically referred to
herein, and all attachments hereto (if any) integrate all of the terms and conditions mentioned herein,
and supersede all negotiations with respect to the subject matter hereof. This Third Amendment
amends,as set forth herein,the Original Agreement and the First and Second Amendments and,except
as specifically amended hereby,the Original Agreement and the First and Second Amendments shall
remain in full force and effect. To the extent that there is any conflict or inconsistency between the
terms and provisions of this Third Amendment and the terms and provisions of the Original Agreement
and/or the First and Second Amendments, the terms and provisions of this Third Amendment shall
control and govern the rights and obligations of the parties.
IN WITNESS of this Agreement,the parties enter into this Third Amendment on the year and
day first above written.

Cusfodial Repuiremenfs
it €s the objective of the City of Orange ("City") to ensure that custodial and
housekeeping service's are provided to ail of the buildings and #acifities described
in these specifications. The City buildings and facififies covered by these
specifcations are generally referred to as the Public Works Building,
Administration Bui[ding and Finance Building that rr ake up the Civic Center this
includes the computer training room, additional training room, men's and women's
locker rooms and lunch room located in the basement beneath those buildings,the
Cornmunity Services Administration Buitding; #he Fire De artment Headquarters
including the modular office located adjacent theretof, the Orange Public Library
and History Center, the Senior Citizens Center, Train Depot, the City's Corporation
Building I (Flee# Services restroom a d break room to be serviced by the Uay
Porter ass[gned to the Police Department Headquarters}, Corporation Building II
warehouse}, the Police Depar men# Headquarters, the Water Plant, Taft Branch
Lihrary, the EI Modena Branch Library, the Police Sub-Station at Fort Rd., the
Police Sub-Station at the Block at Orange Retail Shapping Center, Shaffer Paric,the
Shaffer Park Community Room, Olive Park, the Oiive Parlc Community Room, EI
Camino Park, the EI Camino Park Community Room, Handy Park, the Handy Park
Trailer Community Room, Hart Park, the Hart Park Pool Restrooms and Community
Room, EI IVlodena Park, Eisenhower Park, La Veta Park, Santiago Hiils Park, Pitcher
Park, the McPherson Athletic Facility, the Kitlefer Park Recreation Center, Grijalva
Park, the Grijalva Gymnasi sm and Athletic Facility, Serrano Par[c, Fred Barrera
Park, Steve Ambri Park and Steve Ambriz Community Room. Future sites and
facifities that will come on line during the unexpired ferm of this Contract and for
which'compensation wiil be mutuaily agreed upon and included in an amendrnent
to the Contract Housekeeping Services are to be performed during the specified
hours [isted in these specifcations, unless otherwise directed and/or approved by
the. City of Orange. These specifications also include special cleaning Intervals as
we11 as other specific requirernents.
IVote: The City of Orange may, in its sale discretion; adjust the days and times for the
performance by the Contractor of woric and services if the hours of operation of the City
for any one or more City facilities should change during the term of #he Contract. For
exampfe, if the hours o# operation of one or more buildings or facilities are reduced or
otherwise aitered due to budgetary considerations or the furlough of emplayees, the City
and the Contractor shall agree upon credits for reductions in service or, altema#iveiy,
additional compensation in the event the hours of opera#ion or availability of buildings and
facilities to the public are increased.

The City of Orange requires the foliowing of the contractor retained for the
performance of this contract:
1. BacicaraundlSecuritv: AII personnef engaged in performance of this work
sha?I be employees af the Contractor and as such shall be warranted to
possess sufficjent experience and security records to perForm this work.
See the Contract Agreement ("AgreernenY') for fhe specifc details that wiN
6e required of the Contractor and its employees.
2. Healfh: All personnei shall be in good hea(th and free of cantagious
diseases. ontractor shall not a!!ow any persori(s) under the influence of
alcohof or drugs on the premises or in the uildings. The Cantractor shali
not alfow the use ar presence of alcohal or drugs on the premises or in the
buildings.
3. Conduct: No persan{s) shali be employed for this work who islare found to
he incompetent, disorderiy, traublesome, under the influence of alcohol or
drugs, or who faiis or otherwise refuses to perform fhe work properly and in
a suitable fashion. The Contractor shall immediately remove such persons
from fhe performance of work under this Agreement.
4. S penrision of Staff: Con#ractor sfzall provide two supervisors/foremen,
who shall be present at all times during night operations, and who shall be
responsible far both conduct and workmanship. One supervisor/foreman is
to be onsite for the Community Serrrices Dept. and one supervisor/foreman
is to be onsife for the ather City of Orange facilities. The supervisors or
foremen shal! be able to comrnunicate effectively in both written and orai
English.
5. Day Porters: All Day Porters shall be fully trained for the type of du#ies #hey
will perf'arm and shall be abfe fo communicate efFectively in both written and
oral English.
6. Traininq: Contractor shalf have an ongoing fraining program for its entire
staff in areas of Safefy and Job Duties. Confractor shafi pravide only
personne) that have been fu11y frained €or perFormance of this work.
Supervisors shal! have been trained in supervision as well as technical
training regarding Custodial Services.
7. Uniforms: .All of Contractor's employees shail wear appropriate uniforms at
all times while-n duty. Uniforms rnust Ftave the Contractor's name. A
photo IO Badge is to be worn at all times, ID badges must have the name of
the individual, Contracfars name and a 24 hour emergency contact number.
8. Adeauate Safety: Appficabfe waming devices shalf be used by the
Con#ractor when there is a safety hazard (i.e., rain-slip), waxing or wet

mopping flaars, or as ne ded to ensure the safety of City employees and
members.of the general pubtic whi(e at or on City buildings and facilities.
Con#ractor shafl be responsible for adequately instcucting #heir employees
regarding ali safefy measures. Contractor shal( adhere to Ca1 SHA
regulations ai aEt times. A31 equipment used by the Canfractor shalk be
maintained in a safe operating condition at ail times and be free from
defects. All employees of the Contractor musf wear proper personal
protec#ive equipment while working at or on any of the City's buildings or
facilities.
9. NON SMOKING FAC(LiTIES: All City buildings and facilities are
designafed as non-smoking facilities, No employee of the Contrac#or shall
smake while within twenty-five (25) feet af any entry of said buildings or
facilities.
10.KEYS: Contractar sha11 establish and implement methods for ensuring that
aN keys & key cards issued to Contractar by the City are not lost,
misp aced, or used by unauthorized persons. No keys or keycards issued
to Contractor by the Cify shap be duplicated without prior written
authoriza#ion from the City. Contractor shall report #o the City any and a!l
occurrences of lost or duplicated key/keycards. In the event the Cify
discovers #hat keys/iceycards have been lost or duplicated by the
Contracto's employees, the City may require the Contractor to re-key or
replace the affected lack or locks ar perform re-Eceying or keycard
replacement, in which event the City may deduct the totat cost from any
compensation due to Contractor. ft is a{so the responsibility of Contractor
to prohi it fhe opening of locked areas or to permit entrance of persons
other than the Contractor's employees engaged in the per#ormance of
assigned work in those aceas.
11. Trackinq: All Restroorns shall have a °Restroom Service Sheet" completed
on a daily bas s to ensure an adequate leve!of cleanliness and sanitation is
maintained. These sheets will be turned in by the Contractor each month
and reviewed by the City.
2. Maintenance Repairs: Contractor sha19 report any rimaintenance repairs
needed (i.e., leaking faucets; clogged drains; broken electrical plugs; lights
out, e#c.)to the City's facifities maintenance department by phone (714-532-
6479) ar via FAX 714-532-6444. To prevent clogging of drains, ali wax
stripper and dirty mop water are ta be emptied into a flush toilet, only and
not into any of the urinals or floor sinEcs. No cleaning solutions are to be
dumped or released to the environment. This includes in any of the parking
lots.

15. Res onse Time: Response time to City needs (i.e., Contractor's personnel
arriving at the City facility to respond to a request} durirtg the Contractor's
normal work schedule is to be within 1 hour of the Confractor's receipt of
notice from a City representative. During aff hours, the response time is to
be within fwo {2) hours of the Cantractor's receipt of natice from a Cify
representative. Unless otherwise agreed to by and 6etween the Contractar
and fhe City's representative, the time allowed to correct non-conformances
i.e., corrective actions) shaf! be 48 hours from receipt of the correction
notice.
16. Rec clin : Contracto s empfoyees shalf perform services as specified by
the City's authorized representative(s) to impiement the C.ity's recycling
program, This requirement includes all facilifies covered under the
agreement where recycling practices are currenfly in place and any facifities
that Cify s#aff may add ta the recycling program c uring the term of the
Agreement. The City prahibits the Contractor from salvaging any items from
trash cans or bins.
17.Damaue to Citv Propertv: Can#ractor shall be (iable far any and all costs
associated to damage or verifiable theft by Contractor to any property of the
City or an employee of fhe City which is in any way rela#ed to fhe acts of the
Contractor or Confractor's empbyees of obligafions under the Agreement.
Cantracfor shall not remove any property of any type from fhe City's buildings
or facilities without#he expressed written consent of the City. A written report
of damage or fheft musfi be submitted ta the City within 48 hours of
occurrence.

c. Any calls to nurnbers other than those abave wil! be considered a violation
of this Contract and grounds for immediate#ermination.
19. Building Securifv: The Contractor sha[l keep aU exterior doars closed and
ocked during the performance of work when any City facility is not apen for
business (ar as otherwise directed) and shall ensure that alf doors are
9ocked afi the end of a shift, unless otherwise authorized or directed by a
CEty representative. Security systerns within City buildings or facilities shal{
be activated immediately after custodial service is completed in spec c
building(s). The City shal{ instruct the Cantractor on the manner in which to
activate any such security system.
20.Remedv for Failure to Perform Reauired Service: If the Contractor fails #o
execute #he work in the manner and at such locatiorrs as speci ed, or fails
to maintain the inrark schedule which will ensure the City's inferest, or if the
Contractor is nat carrying out the interest of the Contract, the City shall
notify the Contractor both verbalfy and in writing requiring satisfactory
compliance with the terms of the Agreement. (f the Contractor daes not
perform the work in questian within the time speci ed in said notice or fails
ta continue to comply, the City may then compfete the work by Ci#y forces,
by letting the unfnished work#o another contractor, or by a combination of
such methads. In any event, the cast o€ completing the work shall be
charged against the Contractor and may be deducted from any money due
or becoming due from the Cify. The City may, in addition, withhold ftom
monies due to the Con#ractor the sum of Three Hundred Dollars ($340.00) -
per day for each and every calendar day delay in finishing the work within
fhe time specified. If the sums due under the Contract are insufficient far
completion, the Contractor shall pay to the Cify within five (5) business days
after the comp[etion, alt costs in excess of the sum due., The provisions of
this section shaEl be in addition to all other rights and remeciies available to
the City under law.
21. Extra Woric /Proiect Cleaninq: Work not considered to be routine or nat
done an a regular schedule, and not considered under#hese specifications
or atherwise in the Contract shall be considered ex#ra work. This type of
work may only be completed at the request of the designated
representative of the City. See the ferms af the Contract for the procedures
to be fallawec!for additional work or services.

22.A11 vehicies used by the custodians employed by the Contractor are to be

device: The City representafive shall be provided access to the tracking
software on hislher desktop.
23,Requirements for Custadians:
a. Each custodian working wifihin Cify buildings and facilities will be in art
approved Contractor's uniform.
b. Each custodian wifl have in hls/i er possession a company photo
identifcation badge at all fimes.
c. Ali custodial supervisors day porters and at leasf one (9) person on
each cus#odial crew must speak fluent English.
24. Safefy and Security Requirements:
a. All safet}r warning devices shall be use by the Confractor when
waxing or wet mopping floors or any ather area.
b. All Cify buildings are NON-SMOKING facilities; no custodian is allowed
ta smoke while in City buildings ar within 25 feet of said buildings.
25.(Vatianal Pa(lutant Discharge Elimination System (NPDES) Requirements.
a. The contractor shall comply with Local, State and Federal NPDES
regulations including County Drainage Area Management Plan
DAMP} and fhe Agency's Local ]mplemenfation Plan (LIP) afi alJ
times while providing services to the City of Orange.
b. The Contractor sha(I appfy Storm Wafer Best Managernent Practices
BMP's) for a(I pollution preventian of any discharge of waste water
chemicals, trash, debris and any other pollutants to the storm drain
system and/orwate s of state.
c. Simply stated, all work is fo be perfarrned in a zero discharge manner.
All water, chemicals, materials, products and supplies used for

Su plies and Equipment
The contractor is to provide all s apl es: to carry out the cleaning and disinfecting
operations within this contract, and sha f ineet the standards of the Federal Occupational
Safety and Heafth Act and Cal OSHA. The contractor shall submit a written list of afI
supplies (i.e. cfeaners, disinfectants, floor cleaners, and wax) with attached Material
Safety Data Sheets (MSDS) intended for use in the buildings for approval by the City'of
Orange. In addition to cieaning supplies the contractor shafl also suppiy ail g ass cleaner,
loor stripper, furniture polish, Sheila Shine Stainless Steef Cleaner (use at OPD), Swifter
Dusters (used at OPD Dispatch) etc. All cleaning products and supplies to be
approved by the City prior to use. Any supplies not on the approved list must be
removed from the premises. Adequate quanti#ies of properly labeled supplies (minimum
of two weeks inventory) must be on-hand to per€orm cleaning at afl times. Specialized
green style cleaners to be used when possible. The Police Dispatch Area will require low
odor green cteaning products that will be specified by a City of Orange representative.

that is in fi e areas that wilf be serviced. This includes the Orange PD, the Orange Fire
Department, fhe Civic Center Buildings as wefl as other areas (i.e. Corp. Yard, Community
Services, Traffic, e#c.)
Duties

Special Note: Maintaining a sanitary restroom environment fhat minimizes the possibility . _
of cross-infection is considered of the highest priority by the City of Orange. An
inspection team shall closely monitor sanitation fevels.
Dispensers: Shall be free of dust, dried soil, bac#eria and soil wi#hout causing damage. .
These surfaces shall appear visibly TMand uniformly clean and disinfected. This shall
include fhe eliminat on of film, streaks, and cleaner residue. Dispensers shalf be refilled
when required with the proper expendable supply item.
Sanitary Napkin Dis ensers/D sposal Canisters: Shail be free of dust, d ied soil,

Mirrors. Shall be free of dust and soil. Mirrors and surraunding meta! framework shall
appear streakfree,film-free and uniformly clean.
Toilets and Urinals: Tai ets, #oilef seats and urinals shall be free of dust, bacteria, soil,
organic mafter, c(eaner residue and scale without causing damage. These xtures shall
appear visibly and uniform[y clean, disinfected and polished-dry. This shalf inciude the
elimination of streaks, film and water spots. Under rim areas wi(I be regularly inspected
for cleanliness. Waterless urinals to be cleaned as needed ta ensure proper operatian
while reducing the urine sme1) to an acceptable fevel as specified by a City Qf rattge
representative.

Perf.ormance Inspections
Custodiai
The purpose of the Performance Inspectians is to ensure a high (eve[ of workmanship as
well as to ensure #he Qua(i#y Health and Cleaning Standards throughout this
Scope/Specification are consistently achieved. Attached is a Performance Inspec ian
Sheet fhat w111 be used by both the contractor and fhe Ciiy of Orange to manitor
performance. The fallowing intervais will be used for these inspecfions.
1. Contractor--Weekly
2. Contractor--Monthfy
3. City of Orange—Randam
4. The Contractor shal) perform weekly qualify inspections of all sites and su6rnit
a written inspection report to the City of 4range. The contents and format of
the inspection report shall be determined by fhe confactor and the City of
Orange at the execution of the Agreement. A Performance (nspection Farm will
be provided by the City of Orange.
5. The Contractor shafl pertorm monfhly quality inspection wifh the City f
Orange designated representative. This inspection shall be of al! sites covered
by this Agreement wifh a written inspection report summary submitted by the
Contractor to the City of Orange.
6. A!! noted defrciencies sha(! be corrected within 48 hrs of inspection. Repeated
deficiencies of the same nature and site could result in penalties incfuding
contract terrnination as outlined in the Agreement.
Each Restroom {including Parks Recreation) will have a uRestroom Service Recordn
slgnature sheef on site. These wili be filled out daify and collected monthly for reviewing
purposes by the Cify of range.
Custodial Performance Inspection sheet and Schedules I, U, and III daily wiU be posted at
each facility for the Contrac#ars ernployees to use as reference anc City staff to monitor.
