FIRST AMENDMENT
TO
PROFESSIONAL SERVICES AGREEMENT
[Architectural Design and Construction Administration Services]
THIS FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (the
"First Amendment") is made and entered into as of November 14 , 2022, by and between the
CITY OF ORANGE, a municipal corporation ("City'), and SECOY ARCHITECTS, INC., a
California corporation ("Contractor'), with reference to the following:
A. City and Contractor entered into a Professional Services Agreement (Agreement
No. 7281) dated as of November 9, 2021, which is incorporated herein by this reference (the
"Original Agreement"); and
B. City and Contractor desire to amend the Original Agreement to modify, amend and
supplement certain portions of the Original Agreement by revising the Scope of Services and
increasing the compensation.
NOW, THEREFORE, the parties hereby agree as follows:
Section 1. Defined Terms. Except as otherwise defined herein, all capitalized terms
used herein shall have the meanings set forth for such terms in the Original Agreement.
Section 2. Cross -References. City and Contractor agree that all references in this
First Amendment are deemed and construed to refer to the Original Agreement, as implemented
by this First Amendment.
Section 3 Revised Scope of Services. The Scope of Services, Section 1, Exhibit A
of the Original Agreement, is hereby amended, modified and supplemented to include the services
described on Exhibit A attached hereto and incorporated herein by this reference.
Section 4 Compensation. The total not -to -exceed compensation for the services to
be rendered as set forth in Section 2.a of the Original Agreement is increased by SEVEN
THOUSAND ONE HUNDRED SIXTY DOLLARS and 001100 ($7,160.00) plus a contingency
of SEVEN HUNDRED SIXTEEN DOLLARS and 001100 ($716.00) and Section 2 is hereby
amended in its entirety to read as follows:
a. Contractor's total compensation for all services performed under this Agreement, shall
not exceed SIXTY THOUSAND THREE HUNDRED THIRTY-FIVE DOLLARS and
00l100 ($60,335.00) without the prior written authorization of City.
b. The above compensation shall include all costs, including, but not limited to, all
clerical, administrative, overhead, insurance, reproduction, telephone, travel, auto
rental, subsistence and all related expenses.
c. In addition to the scheduled services to be performed by the Contractor, the parties
recognize that additional, unforeseen work and services may be required by City's
Project Manager. In anticipation of such contingencies, the sum of SIX THOUSAND
THIRTY-THREE DOLLARS and 501100 ($6,033.50) has been added to the total
compensation of this Agreement. City's Project Manager may approve the additional
work and the actual costs incurred by the Contractor in performance of additional work
or services in accordance with such amount as City's Project Manager and the
Contractor may agree upon in advance. Said additional work or services and the
amount of compensation therefor, up to the amount of the authorized contingency, shall
be memorialized in the form of an Amendment to Agreement approved by the City
Manager on a form acceptable to the City Attorney. The Contractor agrees to perform
only that work or those services that are specifically requested by the City's Project
Manager. Any and all additional work and services performed under this Agreement
shall be completed in such sequence as to assure their completion as expeditiously as
is consistent with professional skill and care in accordance with a cost estimate or
proposal submitted to and approved by City's Project Manager prior to the
commencement of such services.
d. The total amount of compensation under this Agreement, including contingencies, shall
not exceed SIXTY-SIX THOUSAND THREE HUNDRED SIXTY-EIGHT
DOLLARS and 501100 ($66,368.50).
Section 5. Authority of City Manager. Pursuant to Section 3.08.430 of the Orange
Municipal Code, the City Manager is authorized to approve and execute amendments to the
Agreement to adjust the compensation as provided herein.
Section 6. Integration. This First Amendment amends, as set forth herein, the
Original Agreement and, except as specifically amended hereby, the Original Agreement shall
remain in full force and effect. To the extent that there is any conflict or inconsistency between
the terms and provisions of this First Amendment and the terms and provisions of the Original
Agreement, the terms and provisions of this First Amendment shall control and govern the rights
and obligations of the parties.

Susan,
I am pleased to submit this proposal for the consulting mechanical services necessary for the
design and construction for the above project.
Project Description: The project consists of the tenant improvements to the Civic Center for the
City of Orange located at 300 East Chapman Ave. The area of work is approx. 1,935 sf. Project will
be done in AutoCAD.
Our understanding of the scope of the mechanical work for this project is as follows:
1. Air Conditioning: HVAC systems which comply with the requirements of the latest
California Mechanical Code.
a. Systems Scope:
i. Modify existing air distribution system for new tenant improvement.
b. Exclusions:
i. Replacement of existing central a/c systems.
2. Plumbing: No services will be provided for plumbing.
3. Fire Sprinklers: No services will be provided for fire sprinklers.
ENGINEERING SERVICES:
For this scope of work, Pocock Design Solutions will provide the following services:
1. Construction Document Phase:
a. Site survey of existing conditions.
b. Attend one (1) coordination meeting as required.
C. Coordinate work with the Architect as well as other consultants.
d. Revise drawings as required by reviewing code authorities.
e. Prepare typed final specifications utilizing the master specification system based
upon the CSI format to include appropriate print type and page layout.
f. Respond to Architect with all clarifications of drawings and specifications.
g. Provide addenda as required to clarify drawings and specifications in a timely
manner.

a. Provide one (1) field observation trip for job -site observations with punchlist.
b. Provide clarifications and revisions to drawings and/or specifications when
required.
C. Provide response for RFIs to Architect within two business days of receipt.
d. Review and return to the Architect shop drawings and submittals within five
business days of receipt. Provide a minimum of one re -review of submittals when
requested.
3. Exclusions and Assumptions:
a. Professional cost estimates.
b. Commissioning.
C. All printing and delivery costs.
The proposed fee for these services is Three Thousand Five Hundred dollars ($3,500.00). The
breakdown of this fee is as follows:

Fees will be billed monthly for the percentage of the engineering services completed.
Additional services will be provided as requested and will be charged on the basis of the following

These fees and hourly rates include all charges for such items as telephone, fax, computer, local
travel, deliveries and prints for review and coordination purposes. The cost of printing of plans and
specifications for submittal agencies for review and approval and for bidding and construction
purposes is not included. Fee charged by any agency for the review and approval of the
construction documents are not included.
