ORA- 0258 RESOLUTION OF THE ORANGE REDEVELOPMENT AGENCY APPROVING THE ACQUISITION OF CERTAIN REAL PROPERTY FROM THE CITY OF ORANGE AND AUTHORIZING EXECUTION OF AN AGREEMENT Northeast Corner of Pixley and Almond)WHEREAS, the City of Orange (the '8City") owns certain real property (the "Property") as described in Exhibit "A" to the accomI)anying Agreement for the Sale of Property ( Northeast Corner of pixley and Almond) (herein, the "Agreement"); and WHEREAS, the City desires to sell the Property and the Agency desires to purchase the Property for a purchase price of 388,OOQ; and NOW,. THEREFORE, the Orange Redevelopment Agency does resolve as follows:1. . The Orange Redevelopment Agency approves and autholrized the Executive Director to execute the "Agreement for Sale of Property" in the form attached hereto as Exhibit " A".The Aqency authorizes receipt of title to the Property. J-5.9LO 79 2___"..~_._._.____.__..___.____ fhJ.t\ - ~3 (e- I AGREEMENT FOR THE SALE OF PROPERTY Northeast Corner of Pixley and Almond)THIS AGREEMENT, dated as of A.)~I()t:?;~ /7, 1992, by and between the ORANGE REDEVELOPMENT AGENCY, a public body,corporate and politic, organized and existing under and by virtue of the laws of the State of California (the "Agency"),as purchaser, and the CITY OF ORANGE, a municipal corporation organized and existing under and by virtue of the laws of the State of California (the "City"), as seller;WHEREAS, the Agency desires to purchase certain real property described in Attachment No.1 hereto (the "Property"),which real property may be utilized by the Agency for the provision of affordable housing or other public purposes of the Agency; and WHEREAS, the City desires to sell the Property to the Agency on the terms and conditions set forth herein; and WHEREAS, the parties have mutually determined that the Purchase Price" as set forth in Section 1, below, represents the fair market value of the Property based upon its highest and best use;WHEREAS, the Agency agrees to accept conveyance of the Property;NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants hereinafter contained the parties hereby agree as follows:Section 1. Sale of the Property, The City agrees to sell and the Agency agrees to purchase the Property for the amount of Three Hundred Eighty-Eight Thousand Dollars ($388,000) (the Purchase Price"). The conveyance shall be completed as soon as possible following the approval of this Agreement, The Purchase Price shall be paid by the Agency to the City within five ( 5) business days after the recordation of the Grant Deed as described in Section 2 of this Agreement) conveying title to the Property to the Agency.Section 2. Title; Grant Deed. Conveyance shall be effected by grant deed substantially in the form of Attachment No.2 hereto (the "Grant Deed"). The Agency assumes the obligation to pay all costs associated with the conveyance of title; provided that City shall convey marketable title to the Property to the Agency, and the City shall be responsible to remove: any encumbrances or clouds adve:rsely affecting the market:abili ty of title or the financing or use of the Property for affordable housing. In addition, the City will cause to be accompli shed a lot split, if necessary,. to enable the City to convey a legal lot to the Agency pursuant to this Agreement EXHIBIT 1\ Page 1 of 3) within the meaning of the California Subdivision Map Act. Upon delivery of the Grant Deed to the Agency, the Agency is authorized to record the Grant Deed without necessity of escrow or further consent or approval by the City. Section 3. Obligation to Refrain from Discrimination. There shall be no discrimination against or segregation of any person, or group of persons, on account of race, color, creed, religion, sex, ma~ital status, national origin, or ancestry, in the sale, lease, sublease, transfer, use, occupancy, tenure, or enjoyment of the Property, nor shall the Agency itself or any person claiming under or through it establish or permit any such practice or practices of discrimination or segregation with reference to the selection, location, number, use of occupancy of tenants, lessees, subtenants, sublessees, or vendees of the Property or any portion thereof. Section 4. Relocation of Water Line. The Agency agrees to relocate or cause to be relocated a water line currently located on the Property to a location within the public right-of-way, so long as the cost to effect such relocation does not exceed Seventeen Thousand Dollars ($17,000). At the election of the Agency, which may be exercised by the Executive Director of the Agency or his designee, the Agency may have the City perform such relocation, in which event the Agency shall pay to City the sum of Seventeen Thousand Dollars ($17, 000) to effect such relocation. The Agency additionally shall pay to City the sum of Two Thousand Dollars ($2,000) for the installation of a driveway on City-owned property adjacent to the Property to replace an access point lost upon the conveyance of the Property to the Agency.Amounts payable by the Agency pursuant to this Section 4 shall be paid promptly upon the incurring of such costs,whether before or after the conveyance of the Property to the Agency. The City will submit appropriate substantiation to the Agency.Each party which performs work pursuant to this Section 4 shall hold harmless, defend, and indemnify the other party from and against any claims, suits, demands, or losses, arising from work performed pursuant to this Section 4.IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their respective officers thereunto duly authorized, all as of the date first above written.
