RES-8271 Making Certain Findings in Connection with First Amendment to Disposition and Development AgreementRESOLUfION NO. 8271 A RESOLUfION OF THE CITY COUNCIL OF THE CITY OF ORANGE MAKING CERTAIN FINDINGS IN CONNECTION WITII A FIRST AMENDMENT TO DISPOSITION AND DEVELOPMENT AGREEMENT AMONG THE ORANGE REDEVELOPMENT AGENCY, SUNSTREAM COMMUNITIES, A CALIFORNIA LIMITED PARTNERSHIP, AND WILLIAM G. CARLSON AND SHARON R. CARLSON GALLERIA L'ORANGE) WHEREAS, the Orange Redevelopment Agency (hereinafter referred to as the Agency") under the provision of the California Community Redevelopment Law, is engaged in activities necessary for the execution of the Redevelopment Plan for the Southwest Redevelopment Project (hereinafter referred to as the "Redevelopment Plan" and "Project", respectively); and WHEREAS, the Agency and Sunstream Communities, a California limited partnership Sunstream") entered into a Disposition and Development Agreement, dated as of April 3, 1989 the "Basic DDA "), which provided for certain development activities to be undertaken at real property generally located at the southwest corner of Main Street and Chapman Avenue (the Site"); and WHEREAS, William G. Carlson and Sharon R. Carlson (collectively, the "Guarantors") guaranteed the performance by Sunstream pursuant to the Basic DDA, and are prepared to guarantee performance of the Developer pursuant to the Basic DDA and the "First Amendment", as defined below; and WHEREAS, Sunstream and the Guarantors have requested that the Agency amend the Basic DDA by means of the "First Amendment to Disposition and Development Agreement Galleria L'Orange)" in the form submitted herewith (the "First Amendment"); and WHEREAS, the staff has indicated that the First Amendment does not provide for assistance by the Agency other than that approved and earlier provided pursuant to the Basic DDA; WHEREAS, the Agency has duly considered all terms and conditions of the proposed First Amendment and believes that the First Amendment is in the best interests of the City and health, safety, morals and welfare of its residents, and in accord with the public purposes and provisions of applicable State and local law requirements; NOW, THEREFORE, the City Council of the City of Orange does hereby find, determine, order and resolve as follows: Section 1: The City Council consents to and approves the execution of the First Amendment by the Agency.
