A RESOLUTION OF THE ORANGE REDEVELOPMENT
AGENCY APPROVING THE SALE OF REAL PROPERTY
OWNED BY THE AGENCY PURSUANT TO HEALTH AND
SAFETY CODE SECTIONS 33430 AND 33431 AND MAKING
CERTAIN FINDINGS
WHEREAS, on December 16, 1992, the Orange Redevelopment Agency (the
II Agency") under the provisions of the California Community Redevelopment Law,
purchased certain real property located at 4629/4649 East Walnut Avenue, Orange (the
II Site") with the intention of developing the Site in accordance with the Redevelopment
Plan for the Southwest Project Area; and
WHEREAS, the Agency has determined that development of the Site will no
longer further the redevelopment objectives of the Agency and that, therefore, the Site
should be sold; and
WHEREAS, in approximately four (4) months that the Site has been listed for
sale, the Agency has received only four (4) offers on the Site; and
WHEREAS, Grace Aou, or assignee (the "Purchaser") has submitted to the
Agency a written offer to purchase the Site at a price which constitutes the fair market
value of the Site (the "Purchase Offer"); and
WHEREAS, pursuant to Section 33431 of the California Health and Safety Code,
the Agency is authorized, with the approval of the City Council after a duly noticed public
hearing, to sell or lease property without public bidding; and
WHEREAS, on May 14, 1996, the Agency and City Council held a duly noticed
joint public hearing on the proposed sale of the Site without public bidding, in accordance
with the requirements of Health and Safety Code Section 33431, at which time the
Agency reviewed and evaluated all of the information, testimony, and evidence presented
during the joint public hearing; and
WHEREAS, all actions required by all applicable law with respect to the
proposed ~e of'the Site have been taken in an appropriate and timely manner; and
WHEREAS, the Agency has duly considered all terms and conditions of the
Purchase Offer and believes that the disposition of the Site pursuant thereto is in the best
interests of the City of Orange and the health, safety, and welfare of its residents, and L'1.
accord with the public purposes and provisions of applicable State and local laws and
requirements.
NOW, THEREFORE, BE IT RESOLVED by the Orange Redevelopment
Agency as follows:
Section 1. The Agency finds and determines that, based upon substantial
evidence provided in the record before it, the Purchase Offer constitutes the fair market
value of the Site.
Section 2. The Agency approves the sale of the Site to the Purchaser pursuant
to the terms of the Purchase Offer.
tion 3. The Executive Director of the Agency (or his designee) is hereby
authorized and directed to take any appropriate action to effectuate the sale of the Site
consistent with the purposes of this Resolution and the Purchase Offer approved hereby.
Section 4.The Agency Clerk shall certify to the adoption of this Resolution.
