of orange, California convened this 19th day of February, 1991
at 4:00 pm in the council Chambers. 300 E. ChaDman Avenue. Oranqe. California.

Marilyn J. Jensen, declaring posting of Orange Redevelopment Agency Agenda
of regular meeting of February 19, 1991, at
Orange civic Center, Main Library, the New police Facility at
1107 N. Batavia and the Eisenhower Park Bulletin Board; all
of said locations being in the City of Orange and freely
accessible to members of the public at least 72 hours
before commencement of said regular meeting.ACTION: Accepted Declaration of Agenda
posting and authorized its retention
as a public record in the Office of
the Agency Clerk.2.2 Request authorization to approve First-Time-Homebuyer
Loan
and authorize the Agency Treasurer to prepare a warrant

0221 A Resolution of the Orange Redevelopment Agency approving
the execution of a inter-creditor agreement, in connection
with the implementation of a Disposition and Development AgreementbyandbetweentheOrangeRedevelopmentAgencyandSunstreamCommunities.RA2100.0
A.1750)DISCUSSION: The Director of Economic DevelopmentreportedthisdocumentputsintoplacethepermanentfinancingfortheGalleryL'Orange at the Southwest corner of West Chapman andMainStreet.The three parties involved are in agreement with
the inter-creditor agreement. The resolution authorizes the
signature of that resolution on behalf of the Redevelopment Agency bytheChairmanand
the Executive Director.The City Manager indicated Redevelopment staffhasspentconsiderabletimewithAgencyLegalCounsel. The AgencyLegalCounselauthoredtheagreementandcoordinatedwiththe
other two parties.The Agency Directors expressed concern that thiswasnotbroughtbeforetheEconomicDevelopmentCommitteeforreviewbeforebeingbroughttotheAgency. The DirectorofEconomicDevelopmentindicatedtherewasnotenoughtimein
this particular situation.

Resolution No. ORA-0221 as introduced be adopted, subject to thefollowingconditions: 1) Adoption of this Resolution and Agreementinnowayisanapprovalofcertainusescurrentlyproposedorexistingwithinthiscenter. These uses need to be reviewedindependentofthisAgreement. 2) Sections 8 and 9 of theIntercreditorAgreementaretobeaddedtotheLoanAgreement.Said Resolution was passed and adopted by the preceding vote.

8. ORAL PRESENTATIONS
Barbara DeNiro expressed concern to the Directors regarding the
inter-creditor agreement. She commented that the city will get
some money back if this development makes
money.
