ORANGE REDEVELOPMENT AGENCY ORANGE, CALIFORNIA MINUTES OF A REGULAR MEETING JANUARY 15, 1991 483 The Orange Redevelopment Agency of the city of Orange, California convened this 15th day of January, 1991 at 4:00 p.m. in the Council Chambers. 300 E. ChaDman Avenue. Oranqe. California. 1.ROLL CALL PRESENT - Steiner, Barrera, Beyer, Coontz, Spurgeon ABSENT - None 1.1 APPROVAL OF MINUTES None 2.CONSENT CALENDAR TAPE 1896 2.1 Declaration of Clerk of the Orange Redevelopment Agency,Marilyn J. Jensen, declaring posting of Orange Redevelopment Agency Agenda of regular meeting of January 15, 1991, at Orange Civic Center, Main Library,the new Police Facility at 1107 N. Batavia and the Eisenhower Park Bulletin Board; all of said locations being in the City of Orange and freely accessible to members of the public at least 72 hours before commencement of said regular meeting.ACTION: Accepted Declaration of Agenda Posting and authorized its retention as a public record in the Office of the Agency Clerk.2.2 Request the Orange Redevelopment Agency authorize the Director and Agency Clerk to award contract to Pacific General Contractors for Underground Utility District No.11 on G1asse11 Street from Almond Avenue to the 22 Freeway, and appropriate an additional $10,000.00 from Fund No. 924-9811-475100-6457 for the cost overrun.Refer to Council Agenda Item 2.12, Page 6)RA21oo.0.A. 1738)ACTION: Authorized Director and Agency Clerk to execute.2.3 Request authorization to appropriate funds for Contractual Services with Kane, Ballmer, & Associates.R.3500. 0)Discussion: Director Spurgeon requested that this item be continued because he needed additional information and more time to review the item. Director steiner commented the item should move ahead for approval at this time, and not be delayed.ACTION: Approved. REPORTS FROM DIRECTORS 4. REPORTS FROM BOARDS. COMMITTEES AND COMMISSIONS TAPE 1970 4.1 Report from Oranae Housing Development Corporation seekina approval from the Aaencv Board for the law firm of Stradlina.Yocca. Carlson & Rauth to act as leaal counsel to the Board of Directors of the Oranae Housing Development Corporation.Continued from 12/18/90). ( RC2500.G.1)Chairman Beyer commented the law firm of Stradling, Yocca, Carlson and Roth has done a very effective job for the agency. The following action in no way casts any aspersions on the law firm.This action will ensure there is no conflict of any sort. They have been very effective, and this is no reflection on their integrity.MOTION - Beyer SECOND - Coontz AYES - Steiner, Barrera, Beyer, Coontz, Spurgeon Moved to deny contracting with the law firm of Stradling, Yocca,Carlson & Rauth as legal counsel to the Board of Directors of OHDC.5.ADMINISTRATIVE REPORTS TAPE 2044 5.1 Proposed Policy Statement - Legal Consultants.R. 3500.0)Chairman Beyer read the following policy statement: "It is the policy of the Board of Directors of the Orange Redevelopment Agency to restrict any law firm which has a contract with the City of Orange or the Agency from representing the Orange Housing Development corporation."Page 2 485 ORANGE REDEVELOPMENT AGENCY MINUTES JANUARY 15, 1991 5. ADMINISTRATIVE REPORTS (Continued) MOTION - Beyer SECOND - Coontz AYES - Steiner, Barrera, Beyer, Coontz, Spurgeon Moved to accept the policy statement as indicated above. Chairman Beyer to send a letter asking Stradling, Yocca, Carlson & Rauth to resign as legal counsel to OHDC, reiterating the policy as outlined above.MINUTE ORDER - DIRECTOR COONTZ: "In this last paragraph (of the memo dated January 15, 1991 regarding Proposed Policy statement-Legal Consultants), because I am a member of the Board of Directors and of the Executive Committee, it says, 'The OHDC Board of Directors is prepared to seek their own legal counsel if Stradling, Yocca, Carlson & Rauth agrees to continue to serve as Agency counsel.' This sentence should be struck from the report and not be made a part of the public record. This has not come back to the Board of Directors as a decision. It sounds as if we have made some motion to do so. I am a member of the Board of Directors and did not participate in that. So, therefore, It is improper to indicate it this way. That has to be reiterated that we have not yet had an Executive Committee meeting. We need to get back to what the bylaws say."Chairman Beyer commented the subject sentence will be struck from the Memorandum, as requested by Director Coontz.6. REPORTS FROM EXECUTIVE DIRECTOR - None 7. LEGAL AFFAIRS - None 8.ORAL PRESENTATIONS TAPE 2246 Bob Bennyhoff, 10642 Morada Drive, questioned the presence of the City Attorney at the meetings, since the Board of Directors indicated they did not want him present at the meetings due to a possible conflict of interest. Director Beyer indicated that the City Attorney will be acting in that position until the Board of Directors decides whether it wants to seek outside legal counsel to avoid a possible conflict of interest.ADJOURNMENT The Orange Redevelopment Agency adjourned at 4:15 P.M.A~ Ji!4f&/MA LYN JE , CMC.,Clerk of the . a e Redevelopment Agency Page 3
