The Orange Redevelopment Agency of the City of Orange, California convened on May 9, 1995 at 4:30
p.m. in a Regular Meeting in the Council Chambers, 300 E. Chapman Avenue, Orange, California.

Barbara DeNiro, 1118 E. Adams asked for an explanation of the project and its location. The
Community Development Block Grant Manager explained the details of the Owner Participation
Agreement, and indicated Fairway Manor is located near the Rehabilitation Institute (RIO) site on
Tustin and Fairway Avenue.

advised that when Eberhart and Stone submitted their proposals, they attached a standard contract
and some of the provisions were not acceptable to the City. It was recommended the Agency
Board, in addition to consideration ofItem 2.5, also consider an additional item that
the Economic Development Director is authorized to negotiate and execute an agreement with

and between the Orange Redevelopment Agency and Santa Fe Pacific Pipeline Partners, L.

recommended the action be a Resolution of the Orange Redevelopment Agency approving and
authorizing the execution of the agreement as long as such agreement is substantially in the
form as submitted to the Agency Board.It was further
recommended the resolution be adopted by title only because there are some provisions in the
resolution that need to be in the agreement itself, but not necessarily in the resolution.MOTION SECOND
