A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF ORANGE ESTABLISHING A LETTER OF
UNDERSTANDING BETWEEN THE CITY OF
ORANGE AND THE ORANGE MANAGEMENT
ASSOCIATION (OMA) EFFECTIVE JULY 1, 2013
THROUGH JUNE 30, 2015
WHEREAS, the City of Orange, hereinafter referred to as "City," and the Orange
Management Association, hereinafter referred to as "OMA" have met and conferred in
accordance with the requirements of the Meyers-Milias-Brown Act; and
WHEREAS, the City and OMA have reached agreement on wages, salaries, and
other terms and conditions of employment effective July 1, 2013 through June 30, 2015; and
WHEREAS, the City Council of the City of Orange has consulted with its Chief
Negotiator concerning the proposed employment terms contained in the attached Letter of
Understanding;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Orange that the attached Letter of Understanding is approved and incorporated by reference
as Exhibit "A."

EXHIBIT "A"
A LETTER OF UNDERSTANDING
BETWEEN THE CITY OF ORANGE AND
ORANGE MANAGEMENT ASSOCIATION
EFFECTIVE JULY 1, 2013 THROUGH JUNE 30, 2015
This Letter of Understanding ("LOU") is entered into by and between the City of Orange and
the Orange Management Association.
Recitals
A. The City of Orange (hereafter, "City") and the Orange Management
Association, (hereafter, "OMA") hereby enter into this LOU effective July 1, 2013.
B. The parties agree to incorporate the language addressed in this LOU into a
new Memorandum of Understanding ("New MOU"), once both parties have the opportunity
to review and concur on any and all language changes that will become part of the New
MOU. A New MOU document will be presented to the City Council of the City at a future
meeting for its approval.
C. All references to the "MOU" in this LOU shall be to that Memorandum of
Understanding by and between the City and OMA adopted by Resolution No. 10682 of the
City Council.
D. This new "LOU" shall amend the "MOU" (Resolution No. 10682) as adopted
by the City Council on November 13, 2012.
Agreement
1. Term and Effective Date.
The term of this LOU shall be from July 1, 2013 through June 30, 2015 and will become
effective upon ratification by OMA membership and approval of the City Council.
2. Salary (MOU Appendix "A"):
Implement an across the board base salary increase of 3.0% effective June 29, 2014.
Monthly Salary Tables effective November 6, 2011 and June 29, 2014 are attached as
Exhibit "1".

3. Furlou h:
Continue 5% work furlough without pay for all employees to June 30, 2014. End the 5%
work furlough effective July 1, 2014.
4. Medical Insurance (Article XVI, Sections 1B and lE).
Modify Article XVI, Sections 1B and lE of the MOU to provide that the City's contribution
on behalf of each active employee shall be increased as follows:
October 1, 2012 1,225
January 1, 2014 1,290
January 1, 2015 1,360
5. Vacation Conversion (MOU Article XII, Section 3).
Effective on execution of this agreement, an employee may convert up to 25% of his
current annual vacation accrual into pay in lieu of time off with pay on an annual
basis for the 2013/14 fiscal year.
Effective July 1, 2014, an employee may convert up to 33% of his current annual
vacation accrual into pay in lieu of time off with pay on an annual basis for the
2014/15 fiscal year.
6. Workin Out of Class (MOU Article IX).
Effective on execution of this agreement, the waiting period for working out of class
assignments shall decrease from 14 consecutive working days to 10 consecutive working
days.
7. Relationshin with Other Reuresented Non-Safetv Bargainin Units.
If, during the term of this MOU, another represented non-safety City of Orange bargaining
group receives an across the board salary or benefit increase more than as set forth in this
Letter of Understanding, the City would agree to provide the same for OMA.
8. No Lavoff.
There will be no layoffs of bargaining unit employees as long as employees are subject to the
current work furlough.

9. Status of MOU.
Except as specifically provided and amended herein, the terms and conditions of the MOU
shall govern the provisions of wages, salaries and other benefits for all employees covered by
the MOU through June 30, 2015. This LOU shall not be interpreted to extend and/or limit
any other rights, benefits, or compensation of either party except as specifically provided
herein and both this LOU and MOU shall expire on June 30, 2015.
