A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF ORANGE ESTABLISHING A
LETTER OF UNDERSTANDING BETWEEN THE
CITY OF ORANGE AND THE ORANGE
MUNICIPAL EMPLOYEES' ASSOCIATION
EFFECTIVE JANUARY 1, 2020 THROUGH
DECEMBER 31,2022.
WHEREAS, the CiTy of Orange, hereinafrer refened to as "City," and the Orange
Municipal Employees' Association, hereafter refened to as the "Association" have met and
conferred in accordance with the requirements of the Meyers-Milias-Brown Act; and
WHEREAS,the City and the Association have reached agreement on wages, salaries, and
other terms and conditions of employment effective January 1, 2020 through December 31, 2022;
and
WHEREAS,the City Council of the CiTy of Orange has consulted with the Assistant City
Manager and Human Resources D'uector conceming the proposed employment terms contained in
the attached Letter of Understanding.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Orange
that the attached Letter of Understanding is approved and incorporated by reference as Exhibit
A»

A LETTER OF UNDERSTANDING BETWEEN THE CITY OF
ORANGE AND THE ORANGE MUNICIPAL EMPLOYEES'
ASSOCIATION EFFECTIVE JANUARY 1, 2020 THROUGH
DECEMBER 31,2022
This Letter of Understanding ("LOU") is entered into by and between the CiTy of Orange and
the Orange Municipal Employees' Association.
Recitals
A. The City of Orange (hereafter, "CiTy") and the Orange Municipal Employees'
Association ("Association")hereby enter into this LOU effective January 1, 2020.
B. The parties agree to incorporate the language addressed in this LOU into a new
Memorandum of Understanding (`2lew MOU"), once both parties have the opportuniTy to
review and concur on any and all language changes that will become part of the New MOU.
A New MOU document will be presented to the City Council at a future meeting for its
approval.
C. All references to the "MOU" in this LOU shall be to that Memorandum of
Understanding by and between the CiTy and the Association adopted by City Council
Resolution No. 11057. Except as to those provisions which expressly expired and/or those
provisions expressly addressed by this LOU, the terms and conditions of the MOU remain
operative until the New MOU is approved and adopted.
Aereement
1. Term and Effective Date
The term of this LOU shall be from January 1, 2020 to December 31, 2022 and will become
effective upon ratification by the Association membership and approval of the City Council.
2. Salary Schedule (Attached as Aaaendix "A"1 (MOU Article III, Section 2)
Effective January 5, 2020, implement a 3% across the boazd base salazy increase.
Effective January 3, 2021, implement a 3% across the boazd base salary increase.
Effective January 2, 2022, implement a 3% across the board base salary increase.
3. Paritv Provision (previouslv titled "Me-Too Provisiod'1 (MOU Article III, Section 2 B))
Modify Article III, Section 2(B) to be titled"PariTy Provision", and to read as follows:

If OMA, OMCEA, and/or WDEA receives additional across-the-board base salary increases
or Section 125 Flexible Benefits Plan increases, greater than those afforded to OMEA based
on a comprehensive tentative agreement and/or executed LOU,the City will provide additional
applicable adjustments to OMEA.
4. Educational Incentive Proaram (MOU Article III.New Section 121
Modify Article III to add a new Section 12 titled "Educational Incentive Program" (e cisting
Section 12 will become Section 13) to read as follows:
Employees covered by this Resolution with postgraduate degrees (i.e. Master's degree or
higher) shall be eligible to receive $I50.00 per month. This form of compensation, also
referred to as "Educational Incentive", shall be reported to CaIPERS as special compensation
and therefore compensation earnable pursuant to California Public Employees' Retirement
System(PERS) Regulations, Section 571(a)(2).
5. Actina Time Pav(MOU Article IX. Sectians 2 &31
Modify Article IX, Sections 2 and 3 to bifurcate Acting Pay/Working out of class pay to
Temporary Upgrade Pay and Out-of-Class Appointment Pay to be consistent with Ca1PERS
criteria. (Note: Section 4 will be eliminated, and the existing Section 5 will become Section
4.) New Sections 2 and 3 to read as follows:
SECTION 2. Actine Time Pay. An employee shall receive acting time pay, as further defined
below, at "A" Step of the higher class, or 5% above the employee's regulaz salary, whichever
is greater, for work performed in the higher classification on the l lth consecutive day out of
class,and for each consecutive day thereafter an employee works out of class. The Deparhnent
Head or his designee shall assign the employee to work out of classification but shall notify
the Human Resources Director prior to the assignment.
A. Temporary Up rade Pay. When an employee is working out of classification due to an
incumbenYs approved leave of absence, said employee shall receive Temporary Upgrade
Pay. Temporary Upgrade Pay, as defined by California Code of Regulations 571(a)(3), is
compensation to employees who aze required by their employer or goveming boazd or
body to work in an upgraded position/classification of limited duration" .

The above form of compensation shall be reported to Ca1PERS as special compensation
and therefore compensation earnable. However, Temporary Upgrade Pay will not be
reported to CaIPERS as pensionable compensation for "new members" hired on or after
January 1, 2013, as defined by the Public Employees' Pension Reform Act of 2013
PEPRA).
B. Out-of-Class Appointment. Out-of-class appointments shall only be made for positions
vacated due to voluntary resignation, promotion, demotion or termination. Gov. Code
section 20480 of the Public Employees' Retirement Law (PERL) defines an"out-of-class
appointmenY' to mean an appointment to an upgraded position or higher classification by

an employer or governing boazd or body in a vacant position for a limited duration. For
purposes of this section, a "vacant position" refers to a position that is vacant during
recruitment for a permanent appointment. A vacant position does not refer to a position
that is temporarily available due to another employee's leave of absence (see "Temporary
Upgrade Pay" above).
SECTION 3. Eli i bility Period. During the 10 consecutive working day eligibility period
before an employ,ee is entitled to receive acting time pay, absence for compensatory time
and/or vacation shall break consecutiveness and cause the 10 consecutive working day
eligibiliTy period to start over. Absences for regulazly scheduled holidays, regular days off,
jury duty,and/or verifiable sick leave shall not constitute a break in consecutiveness for acting
pay eligibility. ;
6. Callback Pav Plus Standbv Pav (MOU Article X. Section 8)
Modify Article X, Section 8 to read as follows:
Employees who aze called back to work pursuant to Section 6 above, and who aze assigned by
Management to standby status afrer their regulaz work hours pursuant to Section 7 above, will
receive two (2)hours per day (Mondays through Fridays)of Standby Pay at their straight tnne
hourly rate or three (3) hours per day for Saturdays, Sundays, and Holidays, plus a minimum
of two and one-half(2 'h) hours Callback Pay at their straight time hourly rate. Callback
incidents over two and one-half(2 %z) hours worked shall be paid at the straight time hourly
rate. All actual callback hours worked by an employee on stand-by shall count as time worked
towazd the 40 hours for qualifying for premium (time and one-hal overtime under FLSA.
7. Vacation Usase and Acwmulation (MOU Article XII, Section 21
Modify Article XII, Section 2 to read as follows:
Vacation shall be'taken at the convenience of the City with the approval of the Department
Head or his designee. Where possible, such vaca6on should be taken annually and not
accumulated from,yeaz to yeaz. V acation hours not in excess of the equivalent number of hours
earned in the immediately preceding 24-month period may be accumulated with the permission
of the Departmenf Head and the Human Resources Director. Accrual of vacation hours shall
cease if the accumulated vacation hours exceed equivalent number of hours eamed in the
immediately preceding 24-month period. Vacation accruals will resume once the employee's
accumulated vacation balance falls below the allowable limit.
Probationary employees accrue vacation,but may not use vacation until successful completion
of an initial probafion period,except in the event of a City Hall Holiday Closure,with approval
of the Human Resources Director. For probationary employees who were hired on or after
July 1 of their yeaz of hire shall be able to receive advancement of fuhue vacation time to cover
the holiday closure occumng within their fust yeaz of employment. After the holiday closure,
the amount of vacation advanced to an employee for the holiday closure must be returned to
the employee's vacation bank at the rate of accrual to restore the negative balance. If the

employee sepazates from employment with the City for any reason before the negative vacation
balance is restored,the employee shall not be required to compensate the City for the remaining
negative vacation balance as a result of vacation advanced to cover the closure. d
8. Vacation Conversion (MOU Article XII. Section 31
Modify Article XII, Section 3 to read as follows:
Effective July 1, 2019, an employee may convert up to 50% of his current annual vacation
accrual into cash in lieu of time off with pay during the 2019-2020 fiscal year. An employee
requesting such a conversion may so convert twice during the 2019-2020 fiscal year.
Employees serving their initial probarionary period shall not be eligible for vacation
conversion.
Effective July 1, 2020, an employee may convert up to 50% of his current annual vacation
accrual into cash in lieu of time off with pay during the 2020-2021 fiscal year. An employee
requesting such a conversion may so convert twice during the 2020-2021 fiscal yeaz.
Employees serving their initial probationary period shall not be eligible for vacation
conversion.
Effective July, 1, 2021, an employee may convert up to 50% of his current annual vacation
accrual into cash in lieu of time off with pay during the 2021-2022 fiscal year. An employee
requesting such a conversion may so convert twice during the 2021-2022 fiscal year.
Employees serving their initial probationazy period shall not be eligible for, vacation
conversion.
Effective July 1, 2022, an employee may conveR up to 50% of his cunent annual vacation
accrual into cash in lieu of tnne off with pay during the 2022-2023 fiscal year. An employee
requesting such a conversion may so convert twice during the 2022-2023 fiscal yeaz.
Employees serving their initial probationary period shall not be eligible for vacation
comersion.

9. Sick Leave Conversion (MOU Article XIV, Section 4(Jl)
Modify Article XN, Section 4(J) to read as follows:
1) Eligible employees with sick leave usage of 0.0 to 36.0 hours per payroll calendar year
shall have the option to convert up to 30 hours of their unused sick leave to vacation in the
first pay period of the following yeaz.
2) Eligible employees with sick leave usage of 36.25 to 45A hours per payroll calendaz yeaz
shall have the option to convert up to 20 hours of their unused sick leave to vacation in the
first pay period of the following year.
3) Sick leave used under FMLA shall not be counted towazds an employee's sick leave
conversion to vacation total.

4) Employees must have a minimum balance of 180 hours of sick leave available after
conversion.
5) However, no hours will be converted to vacation if said vacation conversion places the
employee's vacation bank over the masimum allowable accrual. In this case,all sick leave
hours eligible for conversion will instead remain in the employee's sick leave account.
10. Refiree Premium Contribution (MOU Article XVI, Section 1(A)1
Modify Article XVI, Section I(A)to increase the City's monthly retuee premium contribution
to $139.00 and adjust annually thereafter as determined by the Ca1PERS Boazd of
Administration.
11. Health Insurance (MOU Article XVI, Sections 1Bl & 1(E)1
Modify Article XVI, Section 1(B)to increase the City's monthly Section 125 Flexible Benefits
Plan as follows:

Modify Article XVI, Section 1(E)to read as follows:
An employee may choose to not be enrolled in the Health Benefits Plan. If an employee
chooses not to be enrolled in the health plan,the employee must provide proof of group medical
insurance coverage (e.g., coverage under a spouse's employer's plan) that is compliant with
the Affordable Caze Act (ACA), as determined by the Human Resources Director. Based on
determination that group medical insurance coverage is in full force and effect, eligible
employees shall receive $995.00 per month towazd the Flexible Benefits Plan. Employees
hired after January 1, 2020 who elect to waive medical insurance shall receive $400.00 per
month. Employees with a hire date prior to January 1, 2020 shall remain at the amount of
995.00 per month.
12. Educational Assistance & Professional Develonment (MOU Article XVII, Sections 2 &
Modify Article XVII, Section 2 to read as follows:
Educational assistance payments to an employee shall not exceed $1,500.00 in any one fiscal
yeaz and the individual must still be employed by the City when the course is completed to
qualify for reimbursement.

Modify Article XVII, Section 3 to read as follows:
The City agrees to allow reimbursement to employees of up to $600.00 of the $1,500.00
allotted per fiscal yeaz for activities that aid in their professional development. Reimbursable
activities include the following:
1.Attendance at job-related professional conferences and seminazs;
2.Payment of inembership dues in community and professional organizations;
3.Purchase ofjob-related professional joumals,books,and other written materials,which
further their Imowledge and improve their effectiveness in their duties.
The above modifications are made to recognize and encourage staff to pursue educational and
public relations oriented activities beyond those normally budgeted for them by their
departrnents and in which they aze directed to participate. Approved activities aze those which
may be expected to further their knowledge of their jobs and the Orange communiTy and which
contribute to their improved effectiveness. Costs associated with travel, lodging,meals(or per
diem), pazking, or other costs as defined in Article XX of this Agreement aze not eligible for
reimbursement under this section.
Individual departments may continue to budget funds for stafF attendance at professional
conferences and seminazs,for payment of professional membership dues,and for the purchase
of books,joumals, and related written materials,which enhance the staffs knowledge.
13. PERS Leve14 Survivor Benefit for Miscellaneous Members(MOU Article XVIII,Section
Modify Article XVIII, Section 5 to read as follows:
The CiTy will provide the PERS 1959 Survivor Benefit at the Third Level Option for
miscellaneous members. The CiTy shall increase the 1959 Survivor Benefit to the Fourth Level
Option (Califomia Government Code Section 21574) for miscellaneous members;
miscellaneous members shall pay their$2.00 monthly contribution through payroll deduction.
The City shall pay the employer portion subject to the following limit: In the event the
employer portion exceeds $6.00 monthly, miscellaneous members agree to pay any portion of
the employer portion that exceeds $6.00 monthly. This benefit shall be contingent upon all
affected bargaining units contractually agreeing to this provision.
14. Workshoe Allowance (MOU AMicle XIX, Section 3)
Modify Article XIX, Section 3 to read as follows:
Designated employees covered by this MOU may be required to wear safety shoes with steel
toes while on duty. An employee classified as Assistant Engineer, Associate Civil Engineer,

Building Inspector, Buyer, Code Compliance Officer, Combination Building Inspector,
Construction Inspector UII, Contract Administrator, Engineering Technician UII,
Environmental Compliance Specialist, Environmental Scientist, Senior Traffic Signal
Technician, Stock Clerk, Wazehouse/Inventory Specialist, or Traffic Signal Technician I/II
will receive up to $300.00 per fiscal year for safety boots allowance. Inspection of the work
site will be made on a regulaz basis to ascertain compliance to the safety shoe program.
15. Shart-Term Disabilitv Insurance(MOU Article XIX, New Section 6)
Modify Article XIX to add Section 6 to read as follows:
The City shall administer payroll deductions for an employee-funded short-term disability
insurance plan. The Association will indemnify and release the CiTy from all liabilities related
to the selected plan, and the City shall not incur cost as a result of this action.
16. Limited Reonener (MOU Article XXXIII.New Section 2)
Modify Article XXXIII to set existing language as Section I, and add Section 2 to read as
follows:
Either party can reopen Article III and Article XII, Section 3 of the MOU for negotiations
during the 2020-2021 or 2021-2022 fiscal years through a limited reopener subject to the
requirements set for[h in this article. In order for either party to invoke this limited reopener:
1) There must be a fiscal year-over-year(from 18-19 to 19-20) increase/decrease in sales ta c
revenue received by the ciTy greater than 10%, and 2) Either party must provide in written
notice of its request and intent to reopen MOU negotiations for this limited purpose in writing
to either party during the following dates: June 15, 2021 through July 15, 2021,or December
15, 2021 through January 15, 2022. Upon receipt of such timely request,the parties agree to
meet and confer in good faith on the article(s) requested for reopening. Any changes to the
MOU arising out of this limited reopener shall be by mutual written agreement. It is the
expressed intent of the parties that the language pertaining to this limited reopener is included
in the cunent MOU only and expires December 31, 2022. Any inclusion of a like or similaz
article in future MOUs will be subject to the meet and confer process.
17. Emolovee Handbook
The City to present a drafr of an updated Employee Handbook.
18. Laneuaee Chanees
Implement mutually agreed language clean-up to conform MOU to current practices or
agreements.

19. Status of MOU
Except as specifically provided and amended herein, the terms and condilions of the MOU
shall govern the provisions of wages, salaries and other benefits for all covered employees.
This LOU shall not be interpreted to extend and/or limit any other rights, benefits, or
compensation of either party except as specifically provided herein and both this LOU and the
new MOU shall expire on December 31, 2022.
