1. SUBJECT
Services Agreement with Orange Regional Competitive Aquatics (ORCA), a non - profit public benefit
corporation, for the administration of City aquatic programs.
2. SUMMARY
Approval of a Services Agreement with Orange Regional Competitive Aquatics (ORCA) to continue
the relationship to partner in managing and organizing a year round aquatics program to offer swim
lessons, a recreational swim team, and recreational water polo program.
3. RECOMMENDED ACTION
Approve the Services Agreement, and authorize the Mayor to execute, and the City Clerk to attest, the
agreement on behalf of the City.
4. FISCAL IMPACT
This is a full cost recovery agreement so there is no fiscal impact to the City.

6. DISCUSSION and BACKGROUND
Background
Due to budget constraints during FY 2002 -03, traditional funding was eliminated for the City's in-
house aquatics program at El Modena High School pool, which included swim lessons and swim team.
However, in an effort to continue to provide year round swim lessons to the community utilizing the
local high school pools, the City was able to partner with Orange Regional Competitive Aquatics
(ORCA), a non - profit swim club who was already utilizing the El Modena HS pool, to provide summer
swimming lessons and a recreational swim team during the months of June - August. The partnership
has evolved over time and the City Council has approved four additional agreements extending the
partnership over the last 13 years providing aquatic programming to approximately 7,800 participants.
Discussion
As the current agreement with ORCA is set to expire, staff completed an informal Request for Service
process and contacted three aquatic programming vendors to determine interest in submitting a
community programming proposal. ORCA was the only vendor that responded to the request.
Considering the successful partnership with ORCA for 13 years and the continued need for affordable
community swim lessons and recreation aquatics team programming, the Community Services
Department is recommending approval of the attached five -year Services Agreement with ORCA to
provide year round aquatic programs utilizing available Orange Unified School District (OUSD) pool
facilities (Primary Facility) or other pools in the City of Orange (Secondary Facility).
Pursuant to the agreement, the exact dates of each season shall be determined by the City and will be
dependent upon the availability and use permit from a Primary or Secondary Facility each quarter.
Traditionally, the City has been responsible for submitting pool use requests to OUSD for ORCA's
programming use. Once OUSD approves the use of each facility, the City will work with ORCA to
create a schedule including program dates, times and registration fees. This information is then
publicized to the community on the City website, "Our Orange" magazine, and other marketing outlets.
If for any reason an OUSD pool is not available to the City for a particular season, the City is under no
obligation to ORCA to provide a location to offer swim lessons that season. The City may opt, but is
not required, to seek out a Secondary Facility.
ORCA is required to follow all American Red Cross (ARC) safety standards and guidelines, utilizing
properly certified and registered swim instructors and lifeguards, as well as provide and use ARC
approved safety equipment. ARC standards are necessary to reduce potential liability and provide a
high standard of safety to program participants and staff. ORCA is responsible for recruiting, hiring,
training, and supervising all program staff, who must pass a background process which is the same as
that of City part-time staff, with the exception of the DMV record review, since ORCA employees will
not be driving as part of their duties.
ORCA is also responsible for the registration process, including collecting all fees. The agreement
requires ORCA to reimburse the City for all City costs associated with the agreement. The City will
invoice ORCA at the end of each season for all programming costs. These costs include pool facility
cost recovery hourly rates, marketing and staff /contract management. The term of the agreement is 5
