MINUTES OF A REGULAR MEETING April 13, 2004
4:30 P.M. SESSION
The Orange Redevelopment Agency of the City of Orange, California convened on April 13,
2004 at 4:30 p.m. in a Regular Meeting in the Council Chambers, 300 E. Chapman Avenue,
Orange, California.

3. CONSENT CALENDAR
3.1 Declaration of the Clerk of the Orange Redevelopment Agency, Mary E. Murphy,
declaring posting of Orange Redevelopment Agency Agenda of a regular meeting of
April 13, 2004 at Orange Civic Center in the north facing kiosk, Police Facility at
1107 North Batavia and Shaffer Park, all of said locations being in the City of
Orange and freely accessible to members of the public at least 72 hours before
commencement of said regular meeting; and available at the Orange Civic Center
City Clerk's Office and the Main Public Library at 101 N. Center.
ACTION: Accepted Declaration of Agency Posting and authorized its retention as a
public record in the Office ofthe City Clerk.
3.2 Request Agency confirmation of warrant registers dated March 18 and 25 and April
1,2004.

3.3 Request approval of Redevelopment Agency Minutes, Regular Meeting, March 23, 2004.

7.1 Report from Rick Otto, Sr. Housing Manager, on an Agreement to negotiate exclusively
between the Orange Redevelopment Agency and Olson Urban Housing, LLC. (RA2100.0
AGR-4467)
SUMMARY: In 2003, the Redevelopment Agency acquired the 1.1 acre Manchester property
from the City for the purpose of developing an affordable ownership housing project. Based on
the results of a Request For Proposal ("RFP") process, Agency staff is recommending approval
of an exclusive negotiation agreement with the Olson Company to allow them to pursue
entitlements and a land sale agreement to develop a 19-unit townhome project on the site.
Discussion
Mr. Rick Otto provided a report.
Councilmember Coontz asked for clarification on the First Time Moderate Income Buyer
program.
Mr. Otto explained the Agency has never been part of restricted income ownership housing
project, but rather has always been involved with rental property. The Agency recognizes the
need, however, to provide affordable housing on the ownership side.
Mayor pro tern Cavecche asked about moderate income versus low income; and if further
information will come back to the Council; and stated she was glad to see an ownership housing
project.
Mr. Otto explained the Agency will be working with the Olson Company to establish exactly
what the income levels will be, whether it is all moderate or some moderate and some low
income; noting that the lower the income of the buyers, the more the Agency has to participate;
and these options will be brought back to the Council. He also noted the City will get credit for
these units for the housing supply.
Councilmember Alvarez asked if a site plan for this project will be required, if all basic codes are
being met; and asked about the above grade parking.
Mr. Otto explained the site plan does meet code requirements at this time, but that additional
details will need to be worked out; and the project is considered 2-1/2 stories with above grade
parking.

7. ADMINISTRATIVE REPORTS
Councilmember Alvarez asked about a guarantee that the project remains an income restricted
project as units are sold in the future.
Mr. Otto explained the Agency will be working with the Olson Company to develop a program
for deed restrictions that will require sales only to qualified people; and there will be a trigger
mechanism through escrow that will notify the Agency of a sale.

ACTION: Approved Agreement to Negotiate Exclusively between the Orange Redevelopment
Agency and Olson Urban Housing, LLC., and authorized the Chairman to execute, and the
Agency Clerk to attest, the Agreement on behalf of the Agency.
FISCAL IMPACT: There is no fiscal impact at this time. Upon approval and execution of the
Agreement to Negotiate Exclusively, the Olson Company will be submitting to the Agency a
refundable $50,000 deposit that may be applied to land acquisition. Following the completion of
pre-development activities, a Disposition and Development Agreement may be proposed which
will include the cost the Olson Company will pay the Agency to acquire the Manchester site.
8. LEGAL AFFAIRS - None.
9. RECESS TO CLOSED SESSION - Note: The Agency did not recess.
a. To consider and take possible action upon such other matters as are orally announced by the
General Counsel, Executive Director of the Board of Directors prior to such recess unless the
motion to recess indicates any of the matters will not be considered in Closed Session.
10. ADJOURNMENT
