SESSION The Orange Redevelopment Agency of the City of Orange, California convened on September 10, 2002 at 4:30 p.m. in a Regular Meeting in the Council Chambers, 300 E. Chapman Avenue, Orange, California. 1. ROLLCALL PRESENT - Slater, Alvarez, Chairman Murphy, Coontz, Cavecche ABSENT - None 2. PUBLIC COMMENTS - None. 3. CONSENT CALENDAR 3.1 Declaration of the Clerk of the Orange Redevelopment Agency, Cassandra J. Cathcart, declaring posting of Orange Redevelopment Agency Agenda of a regular meeting of September 10, 2002 at Orange Civic Center, Main Library at 101 N. Center Street, Police facility at 11 07 North Batavia, Shaffer Park, and summarized on Time-Warner Communications, all of said locations being in the City of Orange and freely accessible to members of the public at least 72 hours before commencement of said regular meeting. ACTION: Accepted Declaration of Agency Posting and authorized its retention as a public record in the Office of the City Clerk. 3.2 Request Agency confirmation of warrant registers dated August 22 and 29, 2002. ACTION: Approved. 3.3 Request approval of Redevelopment Agency Minutes, Regular Meeting, August 27, 2002. ACTION: Approved. AGREEMENTS (REMOVED AND HEARD SEPARATELY) 3.4 First Implementation Agreement to the Disposition and Development Agreement (DDA) by and between the Orange Redevelopment Agency and Southern Counties Oil Company and Frank P. CONSENT CALENDAR (Continued) Discussion Mayor pro tern Alvarez expressed concern about the parking issues at Southern Counties Oil, as the City was supposed to have provided assistance with this. He asked that this be elevated to a higher priority and that the City try to act as a facilitator. The City Manager noted the parking problems are primarily between Southern Counties Oil and the Orange County Sheriffs facility, but the City will follow up on this matter. MOTION - Slater SECOND - Cavecche AYES - Slater, Alvarez, Chairman Murphy, Coontz, Cavecche SUMMARY: In December 1999, a Disposition and Development Agreement (DDA) was approved by the Redevelopment Agency Board of Directors which provided financial assistance for acquisition, rehabilitation, and construction of building and parking improvements at 1800 W. Katella Avenue, now owned by Southern Counties OiL The proposed First Implementation Agreement makes certain changes to the implementation of the DDA which results in a reduction in the financial assistance package. ACTION: Approved First Implementation Agreement to the Disposition and Development Agreement by and between the Orange Redevelopment Agency and Southern Counties Oil Company and Frank P. Greinke, Trustee, Greinke Personal Living Trust dated April 20, 1999. FISCAL IMP ACT: The First Implementation Agreement proposes to reduce the total financial assistance amount by $670,000 by eliminating the Additional Parking Solution provision from the DDA. Assistance payments are based on performance and budgeted through the Capital Improvement Program on an annual basis. With the approval of the First Implementation Agreement, if the Developer achieves its projections of sales tax generation, the DDA provides up to $4,700,414 in assistance over the ten year term (in today's dollars valuing cost of funds at 8%). RECESS TO CLOSED SESSION The Agency recessed at 5:45 p.m. to consider the following: a. Conference with Legal Counsel - Anticipated Litigation. Significant exposure to litigation pursuant to Subdivision (b) of Section 54956.9: One potential case involving the receipt of a claim from Orange Unified School District. b. To consider and take possible action upon such other matters as are orally announced by the General Counsel, Executive Director of the Board of Directors prior to such recess unless the motion to recess indicates any ofthe matters will not be considered in Closed Session. 10.
